I am a corporate Attorney licensed in the state of Georgia and Ghana. My professional career started in 2016 as a litigator in a private law firm in Ghana. Subsequently in 2018, I moved in house to work for the University of Ghana and this is where my corporate transactional work experience began. Since coming to the US in 2019, I have gained significant transactional experience through internships at Verizon and Tricentis (a software testing company) during law school at UGA. Since graduating from UGA law school, I have worked as a corporate transactional attorney of an AmLaw 200 firm. In that role, I helped foreign companies entering the US market to establish a presence and comply with applicable corporate laws while doing business. I also assisted customers and service providers in the software and technology industry by reviewing SaaS and similar contracts. Also, I helped energy utilities in the renewable energy space navigate regulatory and policy issues and establish contractual business relationships through contract reviews.

To send a cease and desist letter to YouTube he’s an exercise in futility. They are exempt from lawsuit under federal law. The various content providers that they host is a different issue. Assuming that there are similar issues for the different providers the initial reason desist letter would cost $200. Each additional content provider would be $100.

I recently received a demand letter from a former business partner. The letter outlines a financial settlement that they are demanding from me. I am unsure if any evidence was included in the demand letter and I would like to know if I need to provide evidence of my own in order to dispute the claim. I would like to understand what kind of evidence is necessary to accompany a demand letter and how it could potentially affect the outcome of the dispute.

Costs threatened in a demand letter?
I recently received a demand letter from a person that I had a disagreement with. The letter stated that if I did not take certain actions, they would take legal action against me. The letter also mentioned potential costs associated with this legal action. I am wondering what the potential costs could be and what I can do to protect myself from incurring them.

The first question I would ask, is the nature of the dispute. Is it actionable? Does the person who sent the demand letter have any legal right to bring a lawsuit against you? Typically costs associated with a lawsuit are the filing fee and service of process/summons and possibly free judgment interest, depending on the alleged violation, if it is monetary.

C corp and indemnification?
I am the CEO of a small C Corp. Recently, my company has been sued by a customer for a breach of contract. I am concerned about the potential financial and legal implications of this lawsuit and want to understand the rules and regulations around C Corp and indemnification. In particular, I am interested in understanding how C Corp indemnification works and what I can do to protect myself and my company from liability.

Depending on the state where the company is incorporated, indemnification of directors and officers may be mandatory. In any case, indemnification only comes into play if this customer has named you personally as a defendant in the lawsuit. If the customer has done so, and you were acting in good faith within your role as a director or officer, the company should pay all your expenses in defending yourself, and any judgment against you if you lose. Of course, you should be hiring an attorney to defend the company (and you, if you are named) in this lawsuit. It's not a good DIY project.
