C corp and indemnification?
I am the CEO of a small C Corp. Recently, my company has been sued by a customer for a breach of contract. I am concerned about the potential financial and legal implications of this lawsuit and want to understand the rules and regulations around C Corp and indemnification. In particular, I am interested in understanding how C Corp indemnification works and what I can do to protect myself and my company from liability.

Depending on the state where the company is incorporated, indemnification of directors and officers may be mandatory. In any case, indemnification only comes into play if this customer has named you personally as a defendant in the lawsuit. If the customer has done so, and you were acting in good faith within your role as a director or officer, the company should pay all your expenses in defending yourself, and any judgment against you if you lose. Of course, you should be hiring an attorney to defend the company (and you, if you are named) in this lawsuit. It's not a good DIY project.

I recently entered into a settlement agreement with another party and am concerned about the details of the agreement being made public. I am worried that the agreement may contain sensitive information that could be detrimental to my reputation or interests if it were to be shared publicly. I am looking for guidance on the legal implications of the settlement agreement being made public and what, if anything, I can do to protect myself in this situation.

Yes, details of a settlement agreement can be made public, especially when a governmental body is involved due to the Public Information or Open Records Act. This act states that the public has a right to access information on government affairs and official acts of public officials and employees unless expressly excepted. However, there are exceptions to this general rule. For instance, disclosure of personnel information that would "constitute a clearly unwarranted invasion of personal privacy" is excepted. This is not to say that all settlement agreements are public. In some cases, parties to a settlement agreement may choose to include confidentiality clauses, which prevent the details of the settlement from being disclosed to the public or any third party. The legal rule for agreements between attorneys or parties touching any suit pending is that they will not be enforced unless they are in writing, signed and filed with the papers as part of the record, or unless they are made in open court and entered of record.

What's the survival clause in a commercial lease?
I am looking to enter into a commercial lease for my new business. I am unfamiliar with the terms of a commercial lease, and am particularly interested in understanding the survival clause. This clause is important to me because I want to make sure I am fully aware of my rights and responsibilities as a tenant. I need to know what is expected of me should the lease be terminated prematurely.

A survival clause is fairly standard in a lease. It extends the effectiveness of certain provisions, such as party representations, warranties, promises, and covenants beyond the expiration or termination of the lease, but not beyond the legally prescribed statute of limitations. For example, If you make a fraudulent representation in a 1-year lease, the other party to the lease who is damaged by your fraud could still sue you for that fraud even after the end of the 1-year lease.
