Can I update an asset purchase agreement post-signing?
I am in the process of purchasing a business, and the asset purchase agreement has already been signed. I recently became aware of some additional assets that I'd like to include in the agreement, and I'm wondering if it's possible to update the agreement post-signing to include these new assets. This purchase is critical to the success of my business, so I'm hoping to get a clear understanding of the legal implications of making changes to the agreement.

I am not licensed in Arizona, but feel comfortable providing a general answer about contract amendments, because the subject matter doesn’t require any specialized knowledge. Yes, you can amend nearly any agreement—including an asset purchase agreement (“APA”)—after it has been signed; provided, however, you must follow the requirements for a valid contract amendment. At minimum, you’ll need to obtain the other party’s written authorization for the amendment. Be sure to check for an “Amendments” clause in the APA (look for it under the heading “General Provisions” or “Miscellaneous Provisions”) which may introduce additional requirements, e.g., requiring that an amendment must be labeled and signed by the parties in order to be valid. Further, depending on whether you are seeking to materially alter the terms of the APA, your prospective amendment may require new “consideration”. In contract law, “consideration” generally means any type of bargained-for value that the parties exchange. Thus, if your prospective amendment would make the APA’s terms significantly more favorable to you relative to its terms pre-amendment, then such amendment might require that you give additional bargained-for value to the other party for the amendment to be legally effective. In conclusion, if you follow the requirements for a valid contract amendment, then yes, you can modify the APA and those modifications will be legally enforceable. I hope this has been helpful. Can I have multiple clients in a consulting agreement?
I am a consultant looking to enter into an agreement with a client. I am interested in having multiple clients, but am not sure if this is allowed under a consulting agreement. I am concerned that if I am only able to take on one client, I will miss out on potential opportunities to expand my business.

A consultant who is an employee of the hiring party (an employer) is usually bound by the employer's restrictions, such as a prohibition against performing the same or similar work for third parties. On the other hand, an outside consultant is usually an independent contractor to the hiring party (a client). An independent contractor is a separate (independent) business from its client and is expected to generate revenue to cover its overhead, pay its employees and contractors, and make profit. Subject to applicable laws, whether to enter into an agreement that would limit its rights to provide services to third parties is in an independent contractor's discretion. A knowledgeable attorney can advise you on your rights under a proposed consulting agreement. The attorney might also be able to help you negotiate terms of a consulting agreement that protect you and your business.

Are non-competes part of a business purchase agreement?
I am in the process of purchasing a business and need to know if a non-compete agreement is part of the purchase agreement. I understand that the non-compete agreement will help to protect my business from competition but I am not sure if this is included in the purchase agreement. I also need to know the implications of including a non-compete agreement in the purchase agreement.

Many purchase agreements do include non-competes, which are typically geographically limited and limited in terms of duration. The implication for the seller is straight forward. As a practial matter, the buyer benefits from a non-compete because it limits competion from the seller for business within the community in which the buyer will operate following the purchase of the business, or competition from the seller over the same potential customers, which aids profitability.

Should I cover updates in my terms of service?
I am the owner of an online retail business that sells products and services to customers. I am in the process of creating a terms of service agreement for my business and I am wondering if I should include language that would cover updates to the terms of service in the future. I want to make sure that I am protecting my business and customers from any potential issues that may arise due to changes in the terms of service.

Yes. There are at least two ways to do this. The better method is to send amendments to the TOS to all clients, and have them agree to each amendment if and when it arises. The poorer method is to simply refer to any future amendments when the client first signs the TOS as being incorporated automatically; I don't think that's a good idea.
