I help clients with: buying and selling commercial properties including multi-family and office projects, subdivisions, retail shopping centers; and negotiating leases for retail and office landlords, retail tenants and office tenants. Over 23 years I've honed my skills by running deals at an Amlaw-100 firm, an elite real estate boutique in Aspen, Colorado and a few highly regarded national firms based in Denver, Colorado, before starting my own solo practice in 2016. Since 2016 I've been helping my clients with real estate and business deals. I'm a commercial real estate and business expert with a passion for helping clients forge successful ventures in an efficient and understandable manner.

I have a Bachelors in Biology, Chemistry and French, JD from Seattle University and Masters in Environmental Science and Law from Vermont Law School. My main focus is estate planning and business transactions, but I have had many practice areas throughout my career, including criminal defense and prosecution, civil litigation from neighborhood squabbles to corporate contentions. I have also worked in bankruptcy, family law, collections, employment law, and personal injury. I stand ready to assist in any area to which I feel I can be of service, but will not try to fake it if I do not know the area of law I am being asked to serve in.

Real Estate Lease Agreement

Can I break a commercial lease if landlord stops providing heat?
I have been renting a commercial space for more than ten years. There have been consistent issues with heating and AC, as well as a leaking roof. For two weeks now there has been a major issue with the heater—it is not working. I have filed two maintenance requests, the first of which said the issue was handled. I just found out today (14 March) after reaching out a lot that the heater needs parts that are back ordered and won’t be available until 7 April. This is the last straw for me. I am wondering what the chances are of getting a letter about breaking the lease and being given time to find a new space. Any advice is helpful, and if this is possible I would love to get a quote.

It depends on the terms of the lease. The apartment is not habitable at the moment, so you should at least get a rent abatement. You should have a Colorado attorney review the lease.

Purchase And Sale Agreement

Title issues in a purchase and sale agreement?
I am in the process of buying a piece of property, and I am currently in the middle of negotiating the purchase and sale agreement. I am concerned about potential title issues that may arise due to the history of the property, as I am not sure if the seller has clear title to the property. I would like to know what I should look out for in the agreement to ensure that I am protected from any potential title issues.
N'kia N.
A typical purchase and sale agreement for real property (commonly called an "Offer to Purchase and Contract" in North Carolina) includes due diligence. Due diligence is the buyer's opportunity to investigate the property. During the due diligence period, the buyer will usually have the property inspected. However, the buyer may also conduct a title search on the property. Additionally, a purchase and sale agreement might specify that the deal is contingent upon the seller being able to deliver clear title to the property. Anyone who is considering entering into a purchase and sale agreement for real property should also consider at least having an attorney review the agreement. It probably would not hurt to have attorney representation throughout the transaction.

I have tons of warranty deeds
I have tons of Original lwarranty deeds from the 1890s and early 1920 and I don’t know what to do with them
Donya G.
Here are the steps you need to take to accomplish finding an attorney to assist you with this project: 1. Post the job you need to get accomplished – for example “ I am looking for a Florida attorney to advise me on what I can do with the original warranty deeds I have in my possession“ 2. Once posted, attorneys on the website that are interested and qualified will respond to your posting 3. Choose an attorney/s based upon their qualifications and cover letter to have a quick call so that you can decide who you would like to hire. 4. After talking with attorneys, choose who you will decide to proceed with. Remember to discuss the total cost of the project as well as how long it will take to be completed, and when payments will be made. 5. Once you have decided who to hire, click “HIRE” and that attorney will now be hired by you

Purchase Agreement

Are there cancellation fees in purchase agreements?
I am currently in the process of purchasing a home and I have been presented with a purchase agreement. I was wondering if there are any cancellation fees included in the agreement, as I would like to make sure that I am aware of all the terms and potential costs associated with this purchase. I want to make sure that I am fully informed before I make a final decision.
Damien B.
Hello! I understand you are entering into a Purchase Agreement and want to know whether there are any cancellation fees. First, you would read the agreement to see if there is any mention of termination/cancellation fees such as the loss of the down payment if the buyer attempt to terminate the contract. But, generally, the agreement is binding contract. So, if a buyer attempts to cancel the contract, it could be considered a breach of contract. In that situation, the seller can claim damages, which usually results in a loss of the down payment but also could lead to other monetary claims or a claim to attempt to force the buyer to fulfill the purchase (general called a specific performance claim). Separately, in most cases, if the buyer's ability to purchase the property is dependent on getting a secured loan, usually there would be no cancellation or damage claim and the buyer would have the right to the return of the downpayment (this should be outlined in the contract and is usually referred to as a contingency clause). I hope that helps.

How long is a quitclaim deed good for?
Not sure if I am asking the question the right way. We've been asked to file a quitclaim deed.
Melissa L.
A quit claim deed is like a warranty deed for a permanent transfer of ownership to a property after the applicable consideration of payment.
