Kathryn K.
I graduated from Georgetown Law in 2009 and have been practicing for fourteen years. I primarily work on commercial contracts. I specialize in drafting, reviewing, and negotiating MSAs for services companies, specializing in SaaS agreements. I have drafted online terms of service, acceptance use policies, and privacy policies for clients across a range of industries. In addition, I counsel clients on NDAs, non-solicitation/non-competition agreements, employment contracts, and commercial and residential leases. Prior to opening my own practice, I worked for four years at one of the most prestigious law firms in the world, an appellate litigation firm, the federal government, and one of the country's most renowned government contracts firms. I live in Boulder but represent clients nationwide. Although I have represented numerous Fortune 500 companies and the Defense Department, my passion is advising startups and small businesses. Like so many of my clients, I am an entrepreneur and have owned and operated three businesses (my law firm and two companies outside the legal field). I understand the needs and concerns of small business owners. I look forward to working with you.

I help clients with: buying and selling commercial properties including multi-family and office projects, subdivisions, retail shopping centers; and negotiating leases for retail and office landlords, retail tenants and office tenants. Over 23 years I've honed my skills by running deals at an Amlaw-100 firm, an elite real estate boutique in Aspen, Colorado and a few highly regarded national firms based in Denver, Colorado, before starting my own solo practice in 2016. Since 2016 I've been helping my clients with real estate and business deals. I'm a commercial real estate and business expert with a passion for helping clients forge successful ventures in an efficient and understandable manner.

I have been an attorney for 30 years. I am a Colorado native with many years in Alaska. I have a Bachelors in Biology, Chemistry and French, JD from Seattle University and Masters in Environmental Science and Law from Vermont Law School. I have traveled extensively, mostly in Europe, and speak several languages with more or less proficiency. I practiced law in Alaska and Colorado, much of it in remote areas but also large cities. I have taught in an environmental masters program and run large environmental nonprofits and a hot springs resort. I have worked with and run business incubators, a process I love. Empowering people to build their own futures is a passion.

Real Estate Lease Agreement

Can I break a commercial lease if landlord stops providing heat?
I have been renting a commercial space for more than ten years. There have been consistent issues with heating and AC, as well as a leaking roof. For two weeks now there has been a major issue with the heater—it is not working. I have filed two maintenance requests, the first of which said the issue was handled. I just found out today (14 March) after reaching out a lot that the heater needs parts that are back ordered and won’t be available until 7 April. This is the last straw for me. I am wondering what the chances are of getting a letter about breaking the lease and being given time to find a new space. Any advice is helpful, and if this is possible I would love to get a quote.
Jane C.
It depends on the terms of the lease. The apartment is not habitable at the moment, so you should at least get a rent abatement. You should have a Colorado attorney review the lease.

Mortgage Loan Agreement

If I am separating with someone I co-own a house with, not married, are there any repercussions to me moving out of the house before we have a signed agreement?
I bought a house with my boyfriend, we are now breaking up. We built the house and moved in in October 2022. It's too soon to sell and make money off of it. I am willing to move out, but I want the cash that I initially put into the house during settlement. We are attempting to come up with an agreement, which I would like an attorney to review before I sign.
Ryan W.
Whether there are any repercussions depends upon the circumstances surrounding your purchase. For example, whether or not a mortgage exists can affect the situation. If you are on the mortgage, it would not matter what agreement you sign with your boyfriend, you are still on the hook for the mortgage unless you can negotiate with the lender to remove yourself from the mortgage. It may require your boyfriend to refinance. You are certainly making the right move by having an attorney review any agreement between you and your boyfriend. You just need to consider the third-party lender and how that may also affect you.

Purchase and sale agreement and mediation?
I am in the process of selling my home and have recently received a purchase and sale agreement from the potential buyers. The agreement outlines the terms of the sale but does not include any details regarding mediation in the event of a dispute. I am interested in learning more about the role of mediation in a purchase and sale agreement and what my rights and obligations are in such a situation.
Rosemary L.
Mediation is a voluntary process that the parties may agree to pursue in the event there is a dispute in an agreement. The parties basically agree that prior to filing suit, or entering into some other kind of process for resolution, they will mediate the dispute. It is a fairly informal process where each party presents its evidence and arguments in a dispute to the mediator, who attempts to work out an agreement between the parties. If it does not result in an agreement, the parties may then go ahead and choose to go to court to reach a resolution of their dispute.

In a lease purchase agreement, is the purchase price agreed upon initially and if so, how do you calculate a purchase price for 3 years into the future?
I am looking to start a RE development company that offers Lease Purchase agreements. Before entering into such a contract, I need to run the numbers to see if this is a profitable business. The purchase price is a key factor.
Jane C.
I suggest you consult with your accountant. Also look at the assignment provision in the lease to see if there are any restrictions.
