The difference between Maintenance and Warranty on an RV

We have a contract with a couple that we are leasing to own/rent to own a fifth wheel camper. In the contract it states that we are responsible for all maintenance for the term of the contract. My definition of maintenance is repairs like flooring, hinges, paint, etc. Things we can fix our self's. The issue is the RV has electrical issues, AC going out, Awning separating from RV. These issues require a dealer to fix. Way beyond what we can do. I need to know how to proceed?

I'm an Oklahoma attorney and not an Idaho attorney, so I am simply providing information about the general theory of contracts. For a more detailed response, you need to talk to an attorney in the place where the contract states for its choice of law. If your contract does not state a choice of law, it is possible the place where you live is not actually the law that applies to the contract. The law of the place where the buyers are located might apply. Typically, the words in a contract are to be interpreted in their usual and customary way and not in any technical way, unless the contract indicates otherwise. So, the dictionary meaning of "maintenance" may well be applied. I see two definitions in Merriam-Webster, both of which are not helpful to you because they are broad, not distinguishing between "maintenance" stuff like replacing brake shoes in a trailer's electric drum brake system and fixing or replacing broken things like an A/C unit that simply died after running non-stop during a heat wave. There may be some case law on this in the correct jurisdiction. Your really need to talk to a local attorney and show them the contract you have.

How much equity should investors get?

Hi there, I'm seeking counsel for a startup/small business with two initial investors. These investors have established auto repair businesses and will use those businesses as leverage to support a $500k loan that will be used to initially fund the business. Revenues from those businesses will be used to pay the loan until the business can pay for them. I will be providing all sweat equity. The investors above will have no involvement in the day-to-day (as they run their own businesses). One investor may provide connections to potential clients and if necessary, an additional investor.

The answer as to how much equity to give an investor depends upon a variety of factors. One way to look at the situation is to try to place a value on your business. Once you have determined an appropriate value for your business, then determine how much money an investor is providing the business. From here you could figure out the percentage of equity based upon the investment and value of the business.

Business contract with a termination fee?

I am currently in the process of starting a business and I have been presented with a contract that includes a termination fee. I am not sure what obligations I have with respect to this fee and I would like to know what kind of legal implications I may be subject to in the event of a termination. I am also interested in exploring the potential for negotiation of this fee in order to ensure that I am not overpaying for services that I may no longer need.

A termination fee is a payment that one party to a contract pays the other party for terminating the contract before it expires. The general purpose is to compensate the non-terminating party for resources used and/or opportunities missed as a result of entering into the contract that is then terminated early. A well-written termination fee clause will typically include the exact fee to be paid or, if not exact, a clear explanation of how the fee is to be calculated. Additionally, it will include a timeline for the payment(s). Unless the terms of the contract are otherwise contrary to law, the terminating party is presumed to be responsible for paying the stated sum at the stated time. While it is common for a business contract to contain a termination fee clause, a termination fee that is unreasonable under the circumstances is at risk of not being enforceable. However, disputing a termination fee clause can require a lot of the parties' time and money. Before signing a contract with a termination fee clause, all of the parties should be sure that they understand and agree with the clause. If you are considering signing a contract with a termination fee clause, you might have an attorney review it before you sign it. The attorney might even be able to assist you with negotiating changes, if needed or helpful.

Looking for legal advice on a non-compete agreement in NY State

I am an existing employee of a medium sized privately owed manufacturing company and have worked here for over 15 years. I recently was asked to sign a non-compete and non-disclosure agreement. I have had a series of promotions over the last 7 years but this agreement was presented several months after my latest promotion without any additional consideration for signing this agreement now.

Signing a non compete or a non disclosure is not in and of itself illegal. In NY and in most states a non compete are individually accessed based on the language and scope (how long and what the non compete entails) and is generally examined by courts under a watchful eye as long as its not too restrictive or burdensome and would not prevent the free movement of goods and services. I recently reached a settlement agreement with another party in a dispute, and I am concerned about how disputes would be handled if they arise in the future. I understand that settlement agreements are legally binding contracts, but I am unsure of what the process is for resolving potential disputes that may arise. I would like to know what my rights are and how disputes are typically handled in settlement agreements.

Typically in a settlement agreement there are terms that identify what the parties can do if there is a dispute. If the settlement agreement does not have dispute resolution language, then the parties genrally refer to the contract the parties engaged in, if there was one, and look to the dispute resolution in that document.
