In my thirteen years of practice, I've had the opportunity to argue cases in state, federal, and tribal courts; in subjects as diverse as gaming, land tenure, water rights, treaty rights, finance, employment, criminal defense, conflict of laws, and tort (among others). But the real value I brought my clients came through avoiding litigation, fostering relationships, and developing long-term strategies.

I’m a semi-retired, long-time US attorney with substantial experience in business and corporate law. I counsel startups and small businesses, help them set up corporations or LLCs across the country and draft a variety of contracts and corporate documents.
Robert M.
Robert is a sixth-generation Tennessean and part of a long line of Tennessee attorneys: There has been a Marks attorney in Tennessee since 1856. In 1929, Robert’s great-grandfather established an event venue, Shadowbrook, which Robert has worked at his entire life, including managing for 10 years. He knows what business owners are dealing with—especially venue owners—because he has dealt with it. While Robert loves the hospitality industry, he pursued his passion. In 2016, Robert decided to attend law school and continue managing the business. He thrived. He was a founding member of the Nashville School of Law's Legal Aid Society, received the Tennessee Supreme Court’s Law Student for Justice award, and interned with the Tennessee Supreme Court's Access to Justice Commission. Before co-founding Mercury Legal Group, Robert focused on estate planning in solo practice. In this role, he helped clients protect what they had spent a lifetime building. Now he helps his clients build their businesses by providing tailored legal services.

LLC Operating Agreement
Idaho
Who do I submit my operating agreement to?
I understand that for a LLC for rental property, liabilty protection, an operating agreement is good. However, once this is completed, what do you do with the agreement to ensure your protected? Does it get filed with the State of the LLC or is it something that can just be filed away at home. It seems it would need to be filed or someone could just change the agreement at home dependent on any situation that came up to protect themselves better which seem like fraud.
T. Phillip B.
The operating agreement is just one of the many things you need to do to show that you are treating this LLC as separate from you personally. With that being said, you will put the operating agreement into a records books with other things like your articles of organization, other government filings, membership ledger, etc. Then keep it at the primary place of business.

LLC and subsidiary formation?
I am in the process of starting a business and am looking to form a Limited Liability Company (LLC). I plan to have a subsidiary company, and am looking for advice on the best way to structure the LLC and subsidiary. I am also interested in learning what other legal considerations I should be aware of when setting up the LLC.
Gagandeep K.
If you are interested in forming a series LLC (SLLC) in which a group of LLCs are owned in a tiered-down structure such that the top tier LLC owns the lower-tiered LLCs, then you have to from the SLLC in another state. A SLLC cannot be formed in California. You must register with the foreign SLLC with the California Secretary of State (SOS) before they start doing business in California. In California, LLCs can have one or more members. A member can be an entity or an individual. So if you are forming the LLCs in CA, then one LLC can own another LLC. There are various considerations when forming a LLC in California such as filing the appropriate documentation with the CA Secretary of State (e.g., Articles of Organization, Statement of Information), and having an Operating Agreement to govern, among other things, the LLC's business; LLC's management; members' rights, financial obligations and managerial duties; allocation of profits, losses, and distributions; tax implications; admitting new members or transferring interest; dissolution and winding up of the LLC.

Joint Venture Agreement
Georgia
What are the voting rights in a joint venture?
I am looking to enter into a joint venture with a business partner. We are both making a significant investment of resources and capital, and we want to ensure that we have a clear understanding of the voting rights associated with the venture. We want to make sure that each party's interests are protected and that all decisions are made in a fair and equitable manner.
Karen M.
The voting rights should be based on what the parties determine to be appropriate based on your particular teaming arrangement. You also should consider if there is any voting requirement based on an end-user for the joint venture (e.g., governmental authority may require a majority ownership by one of the joint venturers as well as majority voting rights as in the case of an 8(a) certified entity).

You must obtain approval from the City, after first obtaining approval from the Code Enforcement Officer, Public Services, Fire, Health Services, Treasury, and Police.
