My name is Melissa “Mel” Green and I provide legal counsel to entrepreneurs, start-ups, and small businesses that is clear, concise, and focused on the practical impact of decisions. As trusted legal counsel, I proactively identify risks, and develop effective, practical solutions that protect my clients businesses, create positive outcomes, and help mitigate legal exposure. My areas of expertise include business formation, contract law/commercial transactions, healthcare law, and intellectual property. I also provide services as an outside general counsel or “fractional general counsel”. Prior to starting my own law firm, I spent the majority of my career in-house at large and small corporations, both for profit and not-for-profit, working with senior and executive management, in addition to other stakeholders at a variety of management levels. to proactively identify and address risks, mitigate legal exposure, streamline processes, lead persuasive negotiations that are integral to ensuring positive outcomes for the organization, and deliver hands-on, spectacular client service. There came a time when I realized that individuals and smaller entities were not receiving the same level of legal support and guidance as mid-size to large companies and as a result, individuals and small businesses were not growing and sustaining on the same level. I wanted to use my expertise to provide those that were underserved by the legal market with competent counsel at an affordable price. With the increasing number of new businesses, I knew that I could make a difference to those that needed legal guidance but were putting it off in fear of “Big Law” prices. I love to “partner” with my clients, get a deep understanding of their business, develop lasting professional relationships and watch them prosper. I want to find a way to help my clients maximize the reach, value and impact of their business. Services that I have provided over the course of my career: (i) reviewing, drafting and negotiating commercial agreements (leases, MSAs and SOWs, consulting services agreements, confidentiality agreements, SaaS agreements, coaching agreements, independent contractor agreements, coaching agreements, photographer agreements, waivers and releases, licensing agreements, etc.), (ii) business formation (operating agreements, written consents, bylaws, etc.), (iii) preparing policies and procedures for businesses in highly regulated industries, (iv) conducting federal trademark searches and filing trademark applications/preparing trademark opinion letters after conducting appropriate legal research, and (v) general business counsel.

Distribution Agreement

Illinois

Asked on Sep 8, 2021

My manufacturer is in China, do you write contract agreements for the sales of my products?

I have a patent pending on my product. I have one product being made into a sample now with a China manufacturer. They are also developing another new product to work along with the initial product. I need an attorney to write up a contract license agreement for the sales and distribution of my products. I am in the process of developing a trademark to put all my products under.

Octavia P.

Answered Sep 21, 2021

You are on the right track since a well-drafted distribution/licensing agreement(s) is absolutely essential to protect an inventor’s IP rights when outsourcing the manufacturing of proprietary products. You can post your question, as a project, on this platform to receive and compare multiple proposals from licensed attorneys who are registered and verified. Once you receive a response(s) you will be able to correspond through the platform or request a call to help with your decision to hire a particular attorney for the project. Best of luck!

Cease and Desist

Illinois

Asked on Jan 14, 2022

I am looking for an attorney to write a Cease of Desist letter.

I had a verbal agreement with the video editor to edit a documentary. Per the video editor, the agreement was that he would edit the videos and complete the documentary, and if I liked it, I would pay him, and if I didn't like it, I didn't have to pay him. I gave him the script for an hour-long video. He completed a two hours video; he did not use the script; he put whatever he wanted, and now he wants me to pay him triple the amount of money we agreed. Now he is threatening me if I don't pay him; he will publish all the videos online and put on all social media that I did not pay him. I agreed to pay him the amount previously discussed, never said I wasn't going to pay him.

Business Purchase Agreement

North Carolina

Asked on Oct 17, 2023

Are digital assets covered in a business purchase agreement?

I am in the process of purchasing an online business and I am trying to understand what is included in the business purchase agreement. I am particularly interested in understanding whether digital assets such as website domains, content, and software licenses are covered in the agreement. I am hoping to get a better understanding of what is included in the agreement so I can ensure that all assets of the business are protected.

N'kia N.

Answered Oct 30, 2023

A North Carolina business purchase agreement will typically identify the assets of the business being purchased. This includes the business' intellectual property, proprietary interests, and digital assets. However, a buyer should not enter into a business purchase agreement if the terms of the agreement are not clear, including terms related to the assets are included in and/or excluded from the deal. For assistance with navigating a North Carolina business purchase agreement, you might contact a North Carolina corporate attorney. Good luck!

Independent Contractor Agreement

North Carolina

Asked on Nov 10, 2023

What about confidentiality in the contractor agreement?

I am an independent contractor and I recently entered into an agreement with a company for a project. The agreement does not contain any language regarding confidentiality or non-disclosure, and I am unsure what legal protection I have regarding the confidential information I may be exposed to during the project. I am looking to understand what legal protections I have regarding confidentiality in the contractor agreement.

N'kia N.

Answered Nov 14, 2023

While an independent contractor agreement is not absolutely required to include terms and conditions regarding confidentiality, including such terms and conditions can help protect both the hiring party and the contractor. An independent contractor agreement that does not address confidential information can potentially exposes the contractor to unnecessary risk and liability. For example, the hiring party could claim that the contractor improperly disclosed or used its confidential information, although the parties have not agreed to what would constitute improper disclosure or use. If you have already signed an independent contractor agreement, you can attempt to negotiate an amendment to the agreement. A North Carolina attorney who is knowledgeable in independent contractor agreements and confidentiality clauses should be able to advise about amendments or even help negotiate additional or amended terms and conditions.

Limited Liability Company Agreement

Michigan

Asked on Feb 6, 2022

Is it wise to start a single-member LLC to invest in Cryptocurrency and the Pot Stock market

I have/had an LLC that is a marketing company for D2D sales. Obviously, since COVID we are all out of business. I have been investing in crypto since 2016. I lost almost all of my money in the "ONECOIN" cryptocurrency SCAM. Now I am well educated in the market and believe I will make millions in the Crypto and Metaverse market. I am interested in the tax benefits and protection of the money in my family accounts from retirement and IRAs.

David H.

Answered Mar 18, 2022

Hello, I'm a Michigan licensed attorney. I also research and invest in Bitcoin another cryptocurrency. It looks like your question has a couple of facets to it. One being protecting your personal finances from cryptocurrency losses, but also including them in a future investment tool such as an IRA. There are different tax consequences depending on how you you move forward and what structure you choose. I can help you with this. Depending on how you choose to move forward emails from you an accountant / tax attorney.
