Business contract confidentiality clause?

I am a business owner in the process of signing a contract with a new vendor. We have agreed on the terms of the contract, but I am concerned about the confidentiality clause. I need to ensure that the vendor is not able to share the details of the contract with other businesses or individuals that could potentially be in competition with us. I want to know what can be done to ensure that the confidentiality clause of the contract is enforced.

A business might use a non-disclosure agreement (sometimes called an "NDA," a "Confidential Disclosure Agreement," or a "CDA") to prevent others from disclosing its confidential information. Confidential information includes the business' trade secrets, as well as other proprietary information that does not constitute trade secrets. Generally, there are two main types of non-disclosure agreements. In a unilateral non-disclosure agreement, one party agrees not to disclose the other party's confidential information. In a mutual non-disclosure agreement, both parties agree not to disclose each other's confidential information. It is usually best to execute a non-disclosure agreement prior to the disclosure of confidential information. Disclosed information cannot be un-disclosed. Also, a party that has already received confidential information without restrictions might have little to no incentive to sign a non-disclosure agreement after the fact. What contracts do I need for my business?

Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I’ll be partnering with cleaning businesses run by 1 person (the owner) and cleaning companies with multiple cleaners employed. Kind regards, Brian

Users can contest anything - the question is would they win. I urge you to get legal advice from a qualified attorney before imposing or changing terms and conditions - I see you have a lot of questions about TOC, and you're not going to get proper legal advice/guidance/review just by posting questions. (And, no, please do not ask for me - this is a specialized field, and I'm not qualified or experienced to help you, much as I would like to).

Should I cover updates in my terms of service?

I am the owner of an online retail business that sells products and services to customers. I am in the process of creating a terms of service agreement for my business and I am wondering if I should include language that would cover updates to the terms of service in the future. I want to make sure that I am protecting my business and customers from any potential issues that may arise due to changes in the terms of service.

Yes. There are at least two ways to do this. The better method is to send amendments to the TOS to all clients, and have them agree to each amendment if and when it arises. The poorer method is to simply refer to any future amendments when the client first signs the TOS as being incorporated automatically; I don't think that's a good idea.
