My wife & I thought we had a contract from her employer to buy A dental practice after working for them for three years. We now were forced to sign a contract with the people that bought him out to continue working for them so they can get 10x EBITA when they sell shortly. Do we have a case for lost wages?

We moved from 30 miles away because we were told if we worked for 3 years we could buy it for $525,000. They now want $2.5M.

The first question is do you have a fully executed written contract? This is the first step to determine the terms and conditions such as your wages if there is a breach of contract, the dentist being able to assign the contract and if it can be modified.

In North Carolina, written employment agreements between medical groups and the physicians that they employ are standard. A reputable group will almost always present a proposed agreement to a prospective employee without being prompted. Sometimes, the proposed agreement is in the form of an "offer letter" that, once signed, will become the contract between the parties. Before signing any proposed agreement, a prospective employee should ensure that it accurately reflects what the parties have agreed to. It should include all of the agreed-upon terms and should be written clearly enough that an outside third party could interpret what the parties intended without seeking further explanation. Additionally, a prospective employee should pay close attention to contract clauses intended to have long-term effects, including but not limited to "restrictive covenants" such as non-disclosure, non-competition, or exclusivity provisions. Last, a prospective employee might consider having an attorney review a proposed employment agreement before signing. Good luck!

Is confidentiality needed for an employment offer?

I recently received an employment offer from a company I am interested in working for. However, the offer did not include any kind of confidentiality agreement. I am concerned that the offer may not be legally binding, or that the company may not honor its terms. I am hoping to get guidance from a lawyer on whether or not confidentiality should be included in an employment offer.

I would be happy to help review your offer, but, no, there are no legal requirements in employment or contract law that an employer or you must keep the terms of an offer confidential, or that the contract include any requirement that you keep anything at the company confidential. So, in theory at least, if I offered you a job at $100K/year, I could publish a full-page newspaper ad with all the terms of the contract I offered to you spelled out in the ad. (Now, you may be able to argue an invasion of privacy, but, as to the example I gave you, standing alone, I don't think you would win).
