My practice has involved a wide range of legal matters from commercial real estate, finance and international business transactions to litigation matters including commercial disputes, real estate, employment, and medical malpractice. Proficient in Spanish, I graduated from the University of Kentucky College of Law, the Patterson School of Diplomacy and International Commerce, and the University of Southern California. Prior to my legal career, I sought diverse professional experiences. After graduating from college, I orchestrated my own volunteering experience in southern Peru with a small non-profit organization. Later I gained valuable professional experience as part of a U.S. Senate campaign, and after that I joined the public policy team at Greater Louisville, Inc., Louisville's Chamber of Commerce affiliate. Prior to law school, I embarked on a month long excursion with the Northern Outdoor Leadership School in Alaska, which gave me a new found appreciation for sustainability.

Consultation about theater covid policy
We booked a local theater to put on performance. At signing of contract, there was no covid restriction. However, recently theater imposed a restriction to audiences who come to the show that they either vaccinated or show negative PCR test results within 72 hours of show. This new policy hurt our ticket sale badly. Please note, this is theater initiated policy, not from government.
Donya G.
You will need an attorney to review your agreement with the theatre in order to properly advise you based on the contract. As such, you will need to post your project on the website Here are the steps you need to take to accomplish this 1. Post the job you need to get accomplished – for example “ I am looking for an attorney to review an contract with a theatre to determine my options -------------“ 2. Once posted, attorneys on the website that are interested and qualified will respond to your posting 3. Choose an attorney/s based upon their qualifications and cover letter to have a quick call so that you can decide who you would like to hire. 4. After talking with attorneys, choose who you will decide to proceed with. Remember to discuss the cost of the project as well as how long it will take to be completed as well as when payments will be made. 5. Once you have decided who to hire, click “HIRE” and that attorney will now be hired by you. Donya Gordon, Esq.

Noncompete Agreement

Noncompete agreement choice of law?
I recently accepted a job offer with a new employer and they sent me a Noncompete Agreement to sign. I have some questions about the agreement, specifically related to the choice of law. My former employer and I are in different states, and I want to make sure I understand the implications of the agreement before signing.
Venus C.
Congratulations on your new job. Generally, a choice of law clause contained in a non-compete agreement indicates which state law will govern the contract. By way of general example, let's pretend we have a non-compete agreement that states the choice of law is Florida. Let's also pretend the parties to this agreement had a dispute and one party filed a lawsuit against the other in the state of New York. In this pretend scenario, because the parties agreed Florida to be their choice of law for the non-compete agreement, the court in New York would abide by that contractual agreement and apply Florida law. While choice of law clauses are commonly used to indicate what law will apply to a contract, the language used or omitted plays a significant role in their interpretation and enforceability.

Should I sign a contract if the terms and conditions don't apply to what I am buying?
I am about to sign a contract to rent a venue for my wedding ceremony (not reception). In the terms and conditions they state that I am responsible for paying $10,000 overtime per hour over the contract (which includes venue, staffing ,bar package). However I am having a ceremony only, there is no food or beverage being provided. And the only staff are 2 people to set up the room. Overall it seems the terms and conditions are more for a reception, not just a ceremony. Bottom line, should certain terms and conditions be removed from my contract if they do not apply to my ceremony?
Donya G.
Absolutely. Please do not sign a contract with terms that do not apply to you. Once signed, you would then be bound by those terms and conditions. Go back and ask them to remove the sections that do not apply to you before you sign. If you need additional assistance and wish to hire me to assist you in the review of your agreement or discuss the revisions with the venue, you can contact via Contracts Counsel. All the best. Master Service Agreement
Texas
What should be included in my master services agreement?
I am a small business owner who is in the process of entering into a Master Service Agreement with an outside party. I am looking for guidance on what should be included in the agreement in order to ensure that my interests are protected and that all parties involved are aware of their rights and responsibilities. I am seeking legal advice on this matter to ensure that the agreement is comprehensive and legally binding.
Kathryn K.
The critical terms for an MSA will vary widely depending on your industry and the nature of the transaction. Generally speaking, MSAs should include terms addressing: term, termination, structure of the transaction (i.e., are multiple SOWs contemplated), intellectual property ownership, limitations on liability, indemnification, warranties, timing and payment terms, and confidentiality. Those are what I would call the material terms that are critical to setting the expectations of the parties, protecting your interests, and most likely to come up in the event of a dispute. There are myriad other issues that are slightly less important but still need to be addressed, including everything from dispute resolution to assignment to independent contractor status. Depending on your industry, you may need highly detailed sections on data protection and service levels, or not need any language on those issues whatsoever. I highly recommend you consult with an attorney who has experience in drafting MSAs and can prepare a template for you to use for this transaction and all similar deals moving forward. Please note this is not legal advice and this message does not create an attorney-client relationship; I do, however, have extensive experience in commercial contracts and would be happy to assist.
