My husband is a consultant for a company that is being acquired by another company. The acquiring company no longer needs his services. The acquiring company is asking my husband to sign a non-compete for nothing in return. They stated that he is not an employee of the company being acquired, so financial consideration is not on the table. The acquiring company is in Maryland. The company being acquired is in Maine. Is this legal?

It is a multi-step process to obtain a liquor license in Portland, Maine. You must obtain approval from the City, after first obtaining approval from the Code Enforcement Officer, Public Services, Fire, Health Services, Treasury, and Police. You may also need to create an LLC or other business entity, register with the Secretary of State, obtain an EIN, among other things. I can assist at my normal hourly rate of $200, and would require a $5000 legal advance, payable through Contracts Counsel to assist. The fee Contracts Counsel charges is nonrefundable, otherwise, itemized invoicing will be periodically provided, and any unearned fees will be reimbursed to the client at the end of the project.

Here is a general list of things for you to consider as a Texas entity: 1. Clear Definition of Confidential Information: This can include customer files, lists, business, marketing, financial or sales record, data, electronic data, program, plan, survey, and any other record or information relating to the present or future business, products, or services. It can also include customer and patient related information that could damage the company if this information were to come into the possession of competitors. 2. Confidentiality Conditions: The terms of service should detail the conditions under which information qualifies as confidential. For instance, the information could be considered confidential if it's disclosed to the recipient, either directly or indirectly, including the identity of customers, consultants, and suppliers. 3. Regulations for Public Access: The terms of service should include regulations to ensure non-discriminatory public access while complying with confidentiality and disclosure protections. 4. Non-Disclosure of Customer Information: The terms of service should state that customers' identities should not be disclosed, even if the trade secret being protected is a customer list. 5. Return of Confidential Information: The terms of service should state that upon termination of the agreement, the recipient is required to return all confidential information. Depending on what your company does, and the type of information that is collected on your customers, there may be more necessary legal disclosures. Are 1099 employees responsible for there own break time and lunch time?
The job im at I am a 1099 employee but they tell us when to get here when our breaks are when our lunch is and when we leave. Doesn't that technically mean that we are W2 workers?

First of all, there is no such thing as a 1099 employee. You are either an independent contractor or an employee. Second, yes, if you are being told when to take a break or have lunch, then you are probably an employee and not an independent contractor.
