Can an consultant to a company be asked to sign a Non-Compete Agreement when that company is being acquired by another company.
My husband is a consultant for a company that is being acquired by another company. The acquiring company no longer needs his services. The acquiring company is asking my husband to sign a non-compete for nothing in return. They stated that he is not an employee of the company being acquired, so financial consideration is not on the table. The acquiring company is in Maryland. The company being acquired is in Maine. Is this legal?

It is a multi-step process to obtain a liquor license in Portland, Maine. You must obtain approval from the City, after first obtaining approval from the Code Enforcement Officer, Public Services, Fire, Health Services, Treasury, and Police. You may also need to create an LLC or other business entity, register with the Secretary of State, obtain an EIN, among other things. I can assist at my normal hourly rate of $200, and would require a $5000 legal advance, payable through Contracts Counsel to assist. The fee Contracts Counsel charges is nonrefundable, otherwise, itemized invoicing will be periodically provided, and any unearned fees will be reimbursed to the client at the end of the project.

When asset purchase agreement vs. stock purchase agreement?
I am considering buying a business and I'm not sure what type of legal document I should use. I think I want to buy the business but I'm not sure what comes with that. The deal size is ~$100k and it is a printing company.

A stock purchase agreement only deals with the sale of stocks (which I know sounds a little obvious). The practical effect of which is you would own a percentage share of the company if that company is a corporation. If you used a stock purchase agreement the company would remain intact as a legal entity that you would have control over. If the company isn’t a corporation, or you’re not looking to keep the company intact, an asset purchase agreement would be you purchasing the assets of the company (up to and including the name and place of business) without necessarily taking control of the legal entity itself. Really which ever one you use they can both be drafted to accomplish your goals and more information would be needed to assess which one is right in your specific situation.

Typically your options are going to be controlled by the SAAS Agreement or other contracts between you and the client. There should be a section in there called “Termination” or something similar. Really, it would require a review of the contract to give more specific advice on this one.

Do I need to sign every page of a contract?
I am a legal intern and I have a query. Last week I recieved two Service Agreement contracts from two different content agencies. My company has decided to work with them and I was asked by a colleague today that is it important to get signatures on all the pages by both the parties or if they sign the last page is that enough? I was confused and I said get the signatures on the last page of the agreement that will be fine. Today I recieved both the agreements from the agencies and one agency has signed the last page and the other one has signed all the pages.
