Does an LLC need articles of incorporation?

LLCs are not technically "companies" or "corporations" and therefore they are not formed by filing Articles of Incorporation. Corporations are formed when you file Articles of Incorporation. LLS are formed by an "Organizer" who files a Form of Organization or Articles of Organization with a state. LLCs actually are "hybrids" with characteristic of companies in some ways and of partnerships in other ways.

Can an S corp be digital?
I am an entrepreneur who is exploring different business entities to use for my new venture. I have heard that an S corp can be a beneficial option, but I am unsure if a digital S corp is possible. What is a limited partnership agreement?
Being asked to sign one and not sure what it is. I'm trying to create a partnership with a few of my colleagues and I'm concerned about the word 'limited'.

We really need to know more about the business and how everyone envisions ownership in order to answer the question. In general (and this is very general - I am a PA lawyer, not Tennessee), a limited partnership is an entity through which a business or property is owned. In a limited partnership, you need to have a general partner (either one more individuals or entities) who essentially manage the entity, and also have liability for all liabilities of the general partnership. The limited partners invest in the entity, but have no liability for the entity's obligations.

I am in the process of forming a Limited Liability Company (LLC) and I am looking to understand how the management structure will be set up post-formation. With the caveat that I'm a Pennsylvania and not Illinois attorney, a contract establishes the rights and responsibilities of the parties. Whether you realize it, when you enter into a deal with a customer, you establish and oral contract. A written contract is much easier to enforce, and to prove the terms, because they are in writing. You are much less likely to run into disputes down the line. And for the most part, customers appreciate the certainty as well.
