Is it wise to start a single-member LLC to invest in Cryptocurrency and the Pot Stock market

I have/had an LLC that is a marketing company for D2D sales. Obviously, since COVID we are all out of business. I have been investing in crypto since 2016. I lost almost all of my money in the "ONECOIN" cryptocurrency SCAM. Now I am well educated in the market and believe I will make millions in the Crypto and Metaverse market. I am interested in the tax benefits and protection of the money in my family accounts from retirement and IRAs.

One being protecting your personal finances from cryptocurrency losses, but also including them in a future investment tool such as an IRA. Hello, I am a Michigan licensed attorney. The business formation structure you choose will impact your taxes and also protect you from liability depending on the structure. A limited liability company can be set up in multiple ways from a sole proprietor to a multi-member company. And it can be taxed in one of three ways as a pass-through tax, as an S corp, and as a regular Corporation. This all depends on how you choose to set it up. I am a small business owner and I have been asked to sign an independent contractor agreement. I am curious to know if non-disclosure agreements (NDAs) are included in such agreements or if they are separate documents. A non-disclosure agreement (sometimes called an "NDA," a "confidential disclosure agreement," or a "CDA") is a common component of an independent contractor agreement. Whether it is included in the independent contractor agreement or is a separate document does not, in and of itself, affect the enforceability or validity of an NDA. However, it must be clear how a separate NDA is part of an overall deal. An independent contractor with a valid and enforceable NDA is obligated to comply with its terms and conditions. For example, the NDA might prohibit the independent contractor from disclosing confidential information to others or might require the independent contractor to comply with certain standards for maintaining confidentiality. An independent contractor who violates an NDA could be liable to the other party for monetary damages. For example, the NDA might require the contractor to pay the other party a predetermined amount of money or a court could order the contractor to pay the other party another amount. A North Carolina attorney who is knowledgeable of independent contractor agreements and NDAs should be able to assist with these, whether they are combined or are separate documents. Who's liable for contracts in a joint venture?

I'm a small business owner looking to start a joint venture with another business. We have discussed the terms of the venture and are ready to move forward, but I want to make sure that I understand who is responsible for which contracts. I'm concerned that if either party fails to fulfill their contractual obligations, I need to know who will be held liable.

Typically, liability for each party to a joint venture is determined by the joint venture agreement itself. However, if the joint venture agreement is not sufficient to establish liability or there is no agreement, the law imputes "per capita" (per head) liability. For example, in a joint venture that involves three separate individuals and/or entities, each venturer bears one-third of the total liability. For this reason, joint venturers commonly register a separate entity such as a limited liability company ("LLC"). Hope this helps!

Is confidentiality required in an asset purchase agreement?

I am considering purchasing a business asset and the seller has presented me with an Asset Purchase Agreement. I understand that these agreements typically contain confidential information, but I am not sure if confidentiality is required in this particular agreement. I would like to know whether confidentiality is necessary and what the consequences might be if the agreement is not kept confidential.

There is no requirement for confidentiality in ANY type of contract; this is a negotiated term, like all other terms in any contract (except that in some instances, such as WA State Residential Landlord/Tenant contracts, state law may supercede terms in a lease that would violate the law). As far as breach of a confidentiality term (or any other term) in a contract, often the contract itself will state what the consequences may be for a breach - however, if this is not specified, the other party could sue for breach of contract - what a court may decide to award would generally be based on the amount of damages the Plaintiff incurred by having the breach occur. If you are considering buying a business, I urge you to have all paperwork, your business plan, your finances, and all other important documents and information reviewed by a business attorney prior to signing anything at all.
