Is it wise to start a single-member LLC to invest in Cryptocurrency and the Pot Stock market
I have/had an LLC that is a marketing company for D2D sales. Obviously, since COVID we are all out of business. I have been investing in crypto since 2016. I lost almost all of my money in the "ONECOIN" cryptocurrency SCAM. Now I am well educated in the market and believe I will make millions in the Crypto and Metaverse market. I am interested in the tax benefits and protection of the money in my family accounts from retirement and IRAs.

Hello, I am a Michigan licensed attorney. The business formation structure you choose will impact your taxes and also protect you from liability depending on the structure. A limited liability company can be set up in multiple ways from a sole proprietor to a multi-member company. And it can be taxed in one of three ways as a pass-through tax, as an S corp, and as a regular Corporation. This all depends on how you choose to set it up. Do I need a user agreement for my business?
I’ve recently started my business which is a web-based sentimental message delivery company. Essentially my business allows people to upload written, Audio, and video files to my website (data warehouse is managed through Amazon Web Services), for these messages to be delivered to their intended recipients at a later date in the future or after they pass away. I intended to manage the post-life part by asking the customers to submit their DOB, full name, and most recent address, as we plan to run regular scans against the SSA’s death master. I realize that this is personal information, that may fall under HIPAA penalties. My Amazon expert recommended a user agreement so I’ve been reading up on them, and I just want to confirm this is the appropriate approach. I am a small business owner who is interested in entering into a software agreement with a third-party software provider. The software agreement outlines the terms of use, ownership, and licensing of the software. However, I am unsure of what customizations are allowed under the agreement and would like to know what modifications can be made without voiding the agreement.

There are no universal software agreements, and the answer to your specific question will lie within the terms of the agreement. However, if I were writing a software agreement for a company, I would prohibit all customization and modification of software by end users, without a specific developer license agreement and the right to incorporate the changes into my final product, with our without compensation. As they say, your mileage may vary.

Any exit strategy in a joint venture?
I am currently in a joint venture with another company to pursue a business opportunity, but I am aware that unforeseen circumstances can arise that may require one or both companies to exit the joint venture. However, I am unclear on what exit strategies are available in a joint venture, including how assets and liabilities are divided, and how the joint venture is dissolved. Therefore, I would like to seek the advice of a lawyer to help me understand the legal and financial considerations involved in developing an exit strategy for my joint venture.

A joint venture, unlike a partnership, is not considered a seprate legal entity for tax purposes and does not require a seprate tax ID number. A Joint Venture Agreement, is kind of like an LLC operating Agreement entered into by two or more persons and treated as a partnership. The Joint Venture Agreement, like the operating agreement of an LLC, is the document that should explain the purpose of the joint venture and cover situations like confidentiality, non-disclosure, non-solicitation, non-competition, fiduciary duties, if any, and the exit strategy, to name a few. The exit strategy could be dissolution of the joint venture, buyout by one or more of the parties to the joint venture, or sale to a third party.
