I have approximately 15 years of attorney practice in IL and MI, doing both transactional and litigation work. I am currently licensed in MI and will be taking the CO bar in February. I am open to discussing paralegal or law clerk positions as I've not practiced law full-time since 2015. I worked as a residential realtor from 2015 until I moved to CO in 2021. I took the UBE in July 2023. I am qualified to become licensed in Utah, New Mexico, Oklahoma and Indiana. I missed the mark for CO by 5 points. I should be licensed to practice law in CO by April 2024.

How should i set up my llc in Michigan for real estate development company
Im starting a Michigan llc will be a real estate development company will employ 100s eventually
David H.
Hello, I am a Michigan licensed attorney. The business formation structure you choose will impact your taxes and also protect you from liability depending on the structure. A limited liability company can be set up in multiple ways from a sole proprietor to a multi-member company. And it can be taxed in one of three ways as a pass-through tax, as an S corp, and as a regular Corporation. This all depends on how you choose to set it up. Please let me know if you would like assistance in setting up your LLC that is a service I can help with. There are State filing documents, setting up a tax ID number with the IRS, then setting up an operating agreements. Those are some of the basics. I can walk you through those or I can do the work for you to set up the agreements and file the paperwork. Please let me know if you're interested in utilizing my legal services. Thank you for the opportunity answer your question. Attorney Dave.

Is it wise to start a single-member LLC to invest in Cryptocurrency and the Pot Stock market
I have/had an LLC that is a marketing company for D2D sales. Obviously, since COVID we are all out of business. I have been investing in crypto since 2016. I lost almost all of my money in the "ONECOIN" cryptocurrency SCAM. Now I am well educated in the market and believe I will make millions in the Crypto and Metaverse market. I am interested in the tax benefits and protection of the money in my family accounts from retirement and IRAs.
David H.
Hello, I'm a Michigan licensed attorney. I also research and invest in Bitcoin another cryptocurrency. It looks like your question has a couple of facets to it. One being protecting your personal finances from cryptocurrency losses, but also including them in a future investment tool such as an IRA. There are different tax consequences depending on how you you move forward and what structure you choose. I can help you with this. Depending on how you choose to move forward emails from you an accountant / tax attorney.

Physician Employment Agreement
North Carolina
Can a physician employment agreement be digital?
I am a physician looking to enter into an employment agreement with a hospital. I am currently in the process of negotiating terms of the agreement, and am considering the possibility of signing a digital version of the agreement. I want to know if this is legally permissible, and if there are any potential risks or considerations associated with signing a digital agreement.
Nicholas M.
The federal ESIGN Act, passed in 2000, gives full force and effect to digital signatures with the same weight as "wet" signatures. However, you should discuss this with an Attorney for your specific agreement if you are concerned. An Attorney can research your specific industry, regulations, and state statutes that may impact digital signatures or have specific requirements around digital signatures that are different from other documents.

Asset Purchase Agreement
California
Can I back out of an asset purchase agreement?
I recently entered into an asset purchase agreement with another party to purchase a piece of equipment. Since then, I have had second thoughts about the agreement and now want to back out. I am concerned about the legal implications of this decision and want to understand what my options are.
Sarah S.
The ability to terminate a contract largely hinges on the language within the contract you've entered into. It's advisable to seek legal counsel and have an attorney thoroughly examine your contract. In addition, there are legal doctrines in common law, such as impossibility or impracticality of performance, which might provide grounds for contract termination under certain circumstances. It's essential to consult with a legal expert to assess the specifics of your situation and explore any potential defenses or options available to you.
