Hello, I am a Michigan licensed attorney. The business formation structure you choose will impact your taxes and also protect you from liability depending on the structure. A limited liability company can be set up in multiple ways from a sole proprietor to a multi-member company. And it can be taxed in one of three ways as a pass-through tax, as an S corp, and as a regular Corporation. This all depends on how you choose to set it up. Is it wise to start a single-member LLC to invest in Cryptocurrency and the Pot Stock market
I have/had an LLC that is a marketing company for D2D sales. Obviously, since COVID we are all out of business. I have been investing in crypto since 2016. I lost almost all of my money in the "ONECOIN" cryptocurrency SCAM. Now I am well educated in the market and believe I will make millions in the Crypto and Metaverse market. I am interested in the tax benefits and protection of the money in my family accounts from retirement and IRAs.

Who's liable for contracts in a joint venture?
I'm a small business owner looking to start a joint venture with another business. We have discussed the terms of the venture and are ready to move forward, but I want to make sure that I understand who is responsible for which contracts. I'm concerned that if either party fails to fulfill their contractual obligations, I need to know who will be held liable.

Typically, liability for each party to a joint venture is determined by the joint venture agreement itself. However, if the joint venture agreement is not sufficient to establish liability or there is no agreement, the law imputes "per capita" (per head) liability. For example, in a joint venture that involves three separate individuals and/or entities, each venturer bears one-third of the total liability. For this reason, joint venturers commonly register a separate entity such as a limited liability company ("LLC"). Hope this helps!

I recently sent a demand letter to a business regarding payment owed for services rendered. The demand letter was not answered and I am looking to take further action. I am wondering if I can resend the demand letter with revised terms, or if I should pursue other legal action.

Theoretically, you can resend the demand letter with revised terms. However, if the business never responded to your first letter at all, that probably would not yield a good result. The next best step in this situation would be to pursue other legal action.

I am wondering if it is possible to create a digital Shareholders Agreement that we could both sign electronically.

Sure. Gathering people around a conference room table to sign documents is so 1990s. I have clients all over the world, and routinely have them sign documents of all types (shareholder agreements, board resolutions, merger agreements, etc.) using platforms like Docusign. I couldn't function without it.
