Can I got a nonrefundable deposited back if no contract was signed?
I scheduled a free photography session with this girl. She said she needed $200 in advance that will go towards a package I'll buy when the photos are done. I decided the next day after looking how expensive her packages are that I couldn't afford it. I never signed the contract she sent me but she will not give me the $200 back. Can I get this money back? Am I in the wrong or is she?

What should be included in my master services agreement?
I am a small business owner who is in the process of entering into a Master Service Agreement with an outside party. I am looking for guidance on what should be included in the agreement in order to ensure that my interests are protected and that all parties involved are aware of their rights and responsibilities. I am seeking legal advice on this matter to ensure that the agreement is comprehensive and legally binding.

The critical terms for an MSA will vary widely depending on your industry and the nature of the transaction. Generally speaking, MSAs should include terms addressing: term, termination, structure of the transaction (i.e., are multiple SOWs contemplated), intellectual property ownership, limitations on liability, indemnification, warranties, timing and payment terms, and confidentiality. Those are what I would call the material terms that are critical to setting the expectations of the parties, protecting your interests, and most likely to come up in the event of a dispute. There are myriad other issues that are slightly less important but still need to be addressed, including everything from dispute resolution to assignment to independent contractor status. Depending on your industry, you may need highly detailed sections on data protection and service levels, or not need any language on those issues whatsoever. I highly recommend you consult with an attorney who has experience in drafting MSAs and can prepare a template for you to use for this transaction and all similar deals moving forward. Contract versus PO?
I'm working with a client who refuses to sign our contract document while mentioning that the PO would suffice for that purpose. I already signed the contract and sent it back to the client that I'm working with, but they didn't sign it so far and refuse to sign it. But according to them, they will send PO. Is the PO legally binding to them to make the payment? Would the PO really suffice against the contract that I signed?

Annoying as this answer it, it really does depend. Some purchase orders (especially in the government contracting world) automatically become contracts once they are accepted and signed. If this is the other sides normal mode of operating it is not unheard of for them to be reluctant to accept a different contract in case it creates different or conflicting terms. At the end of the day there is nothing inherent in a PO that would mean it cannot serve as a binding contractual document, it just depends on the language in the PO.

Why do SAAS companies not provide warranties in their agreements?

Because it's in the name "Software as a service." Warranties are only for products. SAAS is constantly evolving and has a strives to always be working but it would be very hard to guarantee. Plus, product warranties are generally only guaranteed for a certain period of time and SAAS is usually good for the contract duration.
