www.parachinilaw.com I represent a diverse mix in a vast array of specialties, including litigation, contracts, compliance, business and financial strategies, and emerging industries. Credit for this foundation of strength goes to those who taught me. Skilled professors and professionals fostered my powerful educational and professional background. Prior to law school, I earned dual Bachelor’s degrees in Business Administration & Accounting from Peru State College. I received a Master of Business Administration degree from Chadron State College. My ambitions did not stop there. While working full time as a Senior Accountant for the University of Missouri, Columbia, I achieved the lifelong goal of becoming a licensed Certified Public Accountant (CPA). Mizzo provided excellent opportunities and amazing experiences. Managing over $50M in government and private research funding was a gift. As a high ranking professional in the Department of Research, I was given priceless insight into the greatest scientific, journalistic, medical, and legal minds in the world. My passion for successful growth did not, and has not stopped. I graduated summa cum laude (top 3%) with a Doctorate in Law, emphasizing in urban, land use and environmental/toxic tort law from the University of Missouri, Kansas City. This success lead to invaluable experiences of serving as Hon. Brian C. Wimes' judicial clerk for the U.S. District Court for the W. D. of Missouri, as a staff editor/writer for UMKC Law Review, and as a litigation and transactional attorney with Lathrop GPM (fka Lathrop & Gage). My professional and personal network is expansive, with established relationships throughout the U.S. and overseas. Although I engage in legal practice all over the country, I maintain law licenses in Missouri, Kansas, and Nebraska. Federally, I hold licenses in the W.D. and E.D. of Missouri and the District of Nebraska. To offer extra value, efficiency, and options, I maintain a CPA license and am obtaining a real-estate brokerage license.

Employment Agreement
Missouri
Is my non-compete enforceable?
If a small company made you a verbal offer of salary, car, health insurance assistance then after you signed the employment agreement, including non compete, made excuses and never made good on the car and the insurance assistance, is the non compete enforceable. I singed based on promises of a partnership and those additional perks since they didn't provide any other benefits. I turned down other opportunities because of the partnership potential and brought my own equipment and opportunity. Now after providing new business opportunity I asked for some protection in writing regarding partnership in the new technology, mainly developed by me and partly carried over from previous experience. Instead of getting the promised protection in writing I got fired. I know that it isn't in writing because of excuses but I also know they would never lie under oath. They are many things but they wouldn't do that for very religeous reasons. The non compete is onerous and those perks were to sweeten the deal so I would sign. I even met with their attorney to complain about it before signing based on their promises which then never materialized and were not provided in writing.
Donya G.
I suggest you seek an employment attorney in your area to discuss. If they are so religious, what happened to you should not have. An agreement for the partnership need to be in writing to be enforceable. If you signed an employment agreement, then you should have signed something when you were leaving. An attorney would need to review both documents to advise you going forward. All the best

Booking Contract Dispute - Who has jurisdiction?
I recently booked a property rental through VRBO. I left a review of the property and now the property owner is threatening legal action if I don't take down my review. The property is in Turks & Caicos, the property owner resides in Canada and I live in the United States. What country has legal jurisdiction and who/where would I go to seek legal counsel?
Donya G.
You should go to VRBO terms and conditions. The document should list where disputes should be held. Since both you and the owner are users of the site, you are both bound by the terms. If your review was based on your experience, another option is to do a cease and desist, but I would need to discuss the matter with you in order to fully assist. you can reach out to me via Contracts Counsel. Demand Letter
Delaware
Can you help me write and send a Demand Letter to PayPal Inc which is based in CA and my LLC was formed in DE
PayPal unlawfully took my money (over $7k) just like they did with Eric please see the post - https://www.pokertube.com/article/chris-moneymaker-lawyers-up-to-sue-paypal-for-seized-funds I joined the lawsuit but I know that some people got their money back by sending demand letters to PayPal so I want to send one too. I want your help to draft the letter and send the actual physical copy. Chances of it working are far greater if it is coming from an attorney than an individual.
Donya G.
Agreed; however, in order for a demand letter to be the most effective, it needs to be drafted by an attorney that is licensed in the state of the issue; for you, you will need a CA licensed attorney. This will ensure that when the demand letter is served by a CA attorney, the company will know that the attorney is licensed to bring a lawsuit in that state and therefore, it typically will ensure that it the demand letter is not ignored. You will need to post your job request on the website "Looking for a CA lawyer to send demand letter to PayPal" and outline what you need the lawyer to do. Lawyers licensed in CA will respond to your post, and after you speak with and choose a lawyer, the work can be done. Be sure to discuss and agree upon the price and the time in which you would like the work to be completed. All the best, Donya Gordon

Contractual Agreement
Florida
I am being harassed by a vendor for the balance due for product that i have not received yet. Can i take them to court?
After receiving the incorrect product, the vendor presented me with a fake contract with my signature copy pasted on it to tell me I i agreed on the replacement product for my order. They claim they had a second meeting with me and this new contract was signed but that never happened.
Donya G.
I would suggest hiring an attorney in your jurisdiction to send a cease and desist letter to the vendor or have them simply call the vendor nd tell them to stop harassing you. For a cease and desist to have the effect that matters, it should be from a licensed attorney in that state who can file any case in court if the matter is not addressed or continues to happen. I am an attorney licensed in New York and Connecticut. There are numerous attorneys on this website from other states. If you would like me to assist, please contact me through the site or post your jobs for another attorney. All the best Donya Gordon

Asset Purchase
California
I am a seller .Buyer broke the contract, How do I get the earnest money in case the buyer did not agree to sign ? .
I am a seller . made a contract to sell the commercial building. But Buyer did not make to fulfill their jobs, my broker asked to sign for the deposit. They did not answer for long time. Escrow company said without both sign, can not release the deposit to the seller.
Donya G.
That is correct. The escrow agreements I have drafted or reviewed would only release the money if both parties agreed. However, the document should outline what happens when there is a dispute. You will need the document reviewed and then advised on the next steps. As a contracts attorney who has experience with contract disputes, I can assist you. If you would like to engage my services, you may contact me on the Contracts Counsel website. Donya Gordon

View Trustpilot ReviewContracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
