I am a business owner looking to purchase a company that is currently owned by another individual. I have received a stock purchase agreement and am looking to understand the stock transfer restrictions associated with the agreement. I am hoping to understand the restrictions that will be placed on me as part of the agreement, as well as any restrictions that the current owner may have to abide by.

Generally, the common restriction is a right of first refusal, meaning if you later sell the stock, you have to allow the prior owner an opportunity to buy the stock back. In contrast, you would usually impose a non-compete on the seller.

I am in the process of purchasing a business, and the asset purchase agreement has already been signed. I recently became aware of some additional assets that I'd like to include in the agreement, and I'm wondering if it's possible to update the agreement post-signing to include these new assets. This purchase is critical to the success of my business, so I'm hoping to get a clear understanding of the legal implications of making changes to the agreement.

I am not licensed in Arizona, but feel comfortable providing a general answer about contract amendments, because the subject matter doesn’t require any specialized knowledge. Yes, you can amend nearly any agreement—including an asset purchase agreement (“APA”)—after it has been signed; provided, however, you must follow the requirements for a valid contract amendment. At minimum, you’ll need to obtain the other party’s written authorization for the amendment. Be sure to check for an “Amendments” clause in the APA (look for it under the heading “General Provisions” or “Miscellaneous Provisions”) which may introduce additional requirements, e.g., requiring that an amendment must be labeled and signed by the parties in order to be valid. Further, depending on whether you are seeking to materially alter the terms of the APA, your prospective amendment may require new “consideration”. In contract law, “consideration” generally means any type of bargained-for value that the parties exchange. Thus, if your prospective amendment would make the APA’s terms significantly more favorable to you relative to its terms pre-amendment, then such amendment might require that you give additional bargained-for value to the other party for the amendment to be legally effective. In conclusion, if you follow the requirements for a valid contract amendment, then yes, you can modify the APA and those modifications will be legally enforceable. I hope this has been helpful. I am looking for an attorney to write a Cease of Desist letter.
I had a verbal agreement with the video editor to edit a documentary. Per the video editor, the agreement was that he would edit the videos and complete the documentary, and if I liked it, I would pay him, and if I didn't like it, I didn't have to pay him. I gave him the script for an hour-long video. He completed a two hours video; he did not use the script; he put whatever he wanted, and now he wants me to pay him triple the amount of money we agreed. Now he is threatening me if I don't pay him; he will publish all the videos online and put on all social media that I did not pay him. I agreed to pay him the amount previously discussed, never said I wasn't going to pay him.

How to amend a contractor agreement?
I am a small business owner who recently signed a contractor agreement with an independent contractor. After signing, I realized I need to make a few changes to the agreement due to changes in the scope of work. I need to know how to amend the agreement so that the changes can be legally binding.

Amending a contract, including an independent contractor agreement, usually takes three main steps: First, to amend a contract, the parties must usually agree to new terms. This sometimes requires the parties to negotiate. Second, when the parties to an agreement memorialize it in a written contract, they typically must also sign a written document to amend it. This means that they will need to draft an amendment that accurately reflects the proposed amendment(s). Third, once the parties have drafted an amendment that they are comfortable with, each will sign and will usually receive a signed copy of the fully executed contract amendment. However, note that amending some contracts can be much more complex. For assistance with negotiating or drafting a contract amendment, including for an independent contractor agreement, you should contact a knowledgeable attorney practicing in the appropriate jurisdiction.
