Should I have my gym members sign a separate liability waiver or is it fine to put language in my membership agreement?
I run in gym in New Jersey and currently have a clause in my membership agreement that covers our liability. I want to understand if that is enough or if I should have a separate document for my members to sign.

Who writes the purchase and sale agreement?
We are looking to buy a home in New Jersey and our relator has discussed using a template for a purchase and sale agreement. Should we hire a lawyer to handle this? I'm not sure what this template is and I'm a bit uncomfortable with the idea of using a template since I'm not sure if it protects our best interest in the purchase.

Whoever drafts the PSA, will draft it to their benefit. This is the reason that buyers, not sellers, will tend to draft the document as the seller is leaving the business and the buyer is gaining the business. Buyers therefore, tend to benefit from the draft of the agreement as they outline the things they will need to feel comfortable enough to proceed with the sale. You should sign a PSA after you have done your due diligence. You will need to look at the financials and the books of the company and complete any background check, including searching the court system for any lawsuits against the entity. Once you are comfortable with what you see, and you have the PSA reviewed by an attorney and it is in line with what the parties agreed to and protects your rights, then you can sign. What is the purpose of a letter of intent?
I am buying a small business and have read I should put a letter of intent in place. I see they can be binding and non-binding. Why do I need to send a letter of intent? What is the benefit for the buyer?

A letter of intent establishes the initial negotiations of the parties; they are typically non binding. The LOI sets out what the parties should expect the agreement would look like, so that everyone is on the same page. For the buyer, it tells the seller what they want; and while no binding, it should only include terms that the parties agree upon. Those terms will be used in the Asset Purchase Agreement (APA) or Purchase and Sale Agreement (PSA) which is binding.
