What to look for in a consulting agreement?
I have been given a consulting agreement to sign by a potential client and want to learn the things I should be looking for to make sure I am protected and not getting into a contract I dont' want to get into. Are there any terms that are most important?

In general, consulting agreements are independent contractor agreements, which in their most basic forms are someone is paying you "x" amount for work that you do with limited or no benefits (i.e. you're not an employee). Important sections include the services section (i.e. what you are doing for them), compensation, restrictive covenants (non-competes, etc.), work product and ownership or work product, and termination. Other important sections depend on what type of services you are providing and the types of risks inherent to those services.

Can I work for a competitor with my current noncompete?
I have ended my non competent consulting agreement with my current employee and I have an offer to work as an employer “not as consultant” with a competitor company to my privious employees so can I work as an employee without any problem? The consultant agreement says the following: Under any circumstances the consultant shall not engage directly or indirectly either as a principal agent , consultant,stock holder , partner or in any other capacity whatsoever have any other relationship with any business which compete with the company in USA.

While the basic structure and framework of a consulting agreement and an independent contractor agreement are very similar, the primary difference is in what services the consultant provides. In a consulting agreement, the consultant is providing their advice for a fee. The guidance will be in the field of their expertise and, usually, includes evaluating an aspect of your business and making suggestions regarding what to do next. An independent contractor, on the other hand, will actually perform the work. The difference is not always a bright line and will vary depending on the circumstances. In some cases, a service provider will evaluate, recommend, and then perform. In that case, they are acting as a consultant first and then an independent contractor. It is also important to properly consider the differences between an independent contractor and an employee.

I am an employee of a company and I recently received a copy of the Employment Handbook that outlines the rights and responsibilities of the employees. After reading through the handbook, I am concerned that some of the policies may not be in compliance with the law. I want to make sure that my rights as an employee are being respected and that I am fully aware of any legal obligations that I may have.

Hello - I have been an attorney for nearly 38 years and specialize in employment law. It would be helpful to know what policies concern you, but be aware that federal and state law, and usually county and city as well, override any policies that are incorrect. Meanwhile, keep in mind that if you are an "at will" employee you have few, if any rights (other than certain ones protected by law); that sometimes employers don't keep up with updating their polices; and that HR is not your friend. If you feel your rights are not being respected, you may want to book a 30 or 60 minute consultation with a WA State Employment attorney. If you feel you have been or are being discriminated against because of a protected class status, you can also file discrimination complaints with the WA State Human Rights Commission and/or the EEOC. If you are not getting the wages you should be receiving, you can file a wage complaint with the state; you will be protected from retaliation for doing so. If you feel your working conditions are unsafe, you can file a complaint with the WA State equivalent of OSHA, and/or with OSHA (federal). Best wishes, Merry

Employment handbook non-compete policy?
I recently accepted a job offer with a new company, and part of the offer was that I had to sign an Employment Handbook. This Handbook includes a non-compete policy that I am not comfortable with, as it restricts my ability to work with certain clients and organizations. I am concerned about the implications of this policy, and I would like to understand my rights and obligations under this policy so that I can make an informed decision about my employment.

A covenant not to compete (AKA "non-competition clause," "non-compete clause," or simply "non-compete") is a special contract term often found in employment agreements. However, not all jurisdictions allow non-competes in employment agreements. Additionally, to be valid/enforceable, a non-compete must be narrowly tailored to a legitimate business interest. An employee who has concerns about the validity/enforceability of a non-compete, or about specific rights and obligations under a non-compete, should consider speaking with a knowledgeable attorney.
