What's a buy-sell clause in a partnership agreement?
I am forming a partnership with a business partner and we are in the process of creating a partnership agreement. We understand the importance of having a buy-sell clause in the agreement and we want to make sure that our interests are protected in the event that one of us chooses to leave the partnership. We are looking for more information on what this clause should include and the legal implications of it.

There are numerous variations of a buy-sell provision, clause or agreement. Generally, the provision is for one of the other owners (or the entity) to purchase the ownership interest of the one who has died or wants to leave the business. For example the parties enter into a buy/sell agreement to effect the purchase of the deceased partner's share upon such partner's death, to be funded by life insurance policies. There could also be an agreement for the entity itself to redeem the shares or membership interest depending on the type of entity Also, sometimes there is another type of triggering event other than an owner's death. Overall though, the buy/sell clause is a way to keep the ownership of the entity with the existing owners rather than having a third party become one of the owners of the business. So a buy-sell clause, provision or agreements alleviate the concern over what happens if a partner dies, leaves the business suddenly or retires.

Do I need to sign every page of a contract?
I am a legal intern and I have a query. Last week I recieved two Service Agreement contracts from two different content agencies. My company has decided to work with them and I was asked by a colleague today that is it important to get signatures on all the pages by both the parties or if they sign the last page is that enough? I was confused and I said get the signatures on the last page of the agreement that will be fine. Today I recieved both the agreements from the agencies and one agency has signed the last page and the other one has signed all the pages.

We're a US-based company with clients around the country. We help new, small and medium businesses to grow as well. Although, we do it through marketing and sales strategies. I was wondering if an attorney is able to sell databases of companies that have recently been created in the US. Business formation is public record in most states in the US. Delaware, Nevada, New Mexico, and Wyoming are exceptions. If you are looking for data on newly formed companies you can obtain the same from the Secretary of State. There are also many companies who offer data lists for sale. If you need a data transfer agreement we can assist with that as well.

Never sign a contract without a lawyer reviewing it. Signing a document and being obligated to a contract that has not been reviewed can be detrimental to your business. If you and the other party disagree on the agreement, it will cost approximately 5-10 times more to litigate and defend yourself than it would cost to review the initial document and ensure you and your company are protected.
