LLC formation is state-specific, as there is no federal formation process. Each state can establish its own laws, including those related to state taxes, for an LLC operating there. However, an LLC must also comply with any applicable federal laws. Never sign a contract without a lawyer reviewing it. Signing a document and being obligated to a contract that has not been reviewed can be detrimental to your business. How is profit shared after LLC formation?
I am looking to form a LLC with two other partners and we need to understand how profits will be shared between us. We have already agreed on certain terms, such as the amount of capital we will each contribute, but we need help understanding how profits should be distributed in accordance with LLC laws.

Hello: I understand you are forming an LLC and want to know how to distribute profits. Generally, members would share profits based on their percent ownership. For example, if you own 50% of the LLC, you get 50% of the profits. Likewise, with three members, it could be 33.33% each for example. However, LLC's are very flexibile and the distribution of profits and percentage is not set in stone. The members can decide how to distribute profits among them, usually set forth in the Operating Agreement.

I am a co-owner of a small business with a partner. We recently created a partnership agreement to outline the roles and responsibilities of each partner. Hello! I understand you want to know how to enforce a partnership agreement. When a signatory/party to a partnership agreement violates any of the terms and conditions contained within the agreement, the other signatory or signatories to the agreement could allege breach of contract, including breaching the covenant to act in good faith. Generally also, court have found that there is a fiduciary relationship among partners. So, another potential claim could be a breach of fiduciary duty. Generally, prior to filing of any lawsuit, courts want to see that there was a good faith effort to resolves issues prior to the filing of a lawsuit. So, if there is a way to resolve the issue without the need for litigation that could save time and money.
