Should I sign a contract if the terms and conditions don't apply to what I am buying?
I am about to sign a contract to rent a venue for my wedding ceremony (not reception). In the terms and conditions they state that I am responsible for paying $10,000 overtime per hour over the contract (which includes venue, staffing ,bar package). However I am having a ceremony only, there is no food or beverage being provided. And the only staff are 2 people to set up the room. Overall it seems the terms and conditions are more for a reception, not just a ceremony. Bottom line, should certain terms and conditions be removed from my contract if they do not apply to my ceremony?

Absolutely. Please do not sign a contract with terms that do not apply to you. Once signed, you would then be bound by those terms and conditions. Go back and ask them to remove the sections that do not apply to you before you sign. What's the entire agreement clause in a commercial lease?
I am a small business owner who recently signed a commercial lease for my business premises. I am concerned about the “entire agreement” clause in the lease, as I am not sure what it covers and what the implications are for me and my business. I am looking for clarification on the clause and any potential risks associated with it.

This is a contractual provision which aims to prevent the party relying on it from being liable for any statements or representations (including pre-contractual representations) except as expressly set out in the agreement. It generally precludes the introduction of parol evidence or evidences of other agreements that are not in writing.

How to determine jurisdiction for lawsuit?
I have a promissory note written in Montana that was breached. I am in New York. I am the borrower and my aunt is the lender; I have since discovered she wrote the note with unfair terms. I need the note voided. What do I do? I can’t find an attorney anywhere to take my case.

Hi - what does the contract say? We are looking for the choice of law clause. If the contract provides for NY choice of law then fantastic! You hire an attorney in New York, send them a demand letter and file in a New York State Court - on the day after the expiration date for your letter. Once you get your judgment in New York, you hire a collections attorney in Montana to go collect your judgement (if they won't pay up - its amazing how much they are willing to pay when you get a local lawyer to put a lien on their house!) If the choice of law clause says Montana - you can (i) be certain and hire a lawyer in Montana and follow the same process or (ii) be aggressive, hire and file in New York, just to ensure that they have to hire a New York lawyer to get the case dismissed. The second situation would be if you think they would rather settle with you than pay someone in New York to get the case dismissed. There is a lot of strategy to consider - but the most important thing in any of this is to be decisive and move forward with a lawyer quickly once you decide on a course of action. I've seen clients who had stronger cases lose in the end because the other side was aggressive in Court and had their lawyer on a retainer immediately and filed before my client could finish "considering her options."

Can I update a business purchase agreement post-signing?
I recently purchased a business and signed a purchase agreement. However, I have since discovered that the agreement does not include certain terms that I believe are important to the transaction. I would like to know if it is possible to update the agreement post-signing to include these additional terms.

Hello. You mention updating a purchase agreement. It sounds like your goal is to modify the agreement. And generally, the agreement itself would set forth how modifications can occur. Usually, modifications must be in writing upon the consent of the parties to the agreement. Therefore, if one party wants to modify the agreement because that party wants to include additional terms, the parties to the original agreement can enter into a written modification or addendum to the agreement.

Breach of Contract & Defamation case has been filed. Defendants have been served and replied with a countersuit. Current Lawyer has become very ill from Covid and can no longer see the case to the end. She will help with all proof and documentation.
