Should I have my gym members sign a separate liability waiver or is it fine to put language in my membership agreement?
I run in gym in New Jersey and currently have a clause in my membership agreement that covers our liability. I want to understand if that is enough or if I should have a separate document for my members to sign.

Yes. If worded correctly, a liability waiver is effective. Note that a few states do not allow liability waivers and others have strict requirements for their enforceability. Can terms of service dictate user behavior?
I recently started using a service that requires me to agree to its terms of service. I have noticed that some of the terms of service appear to dictate behavior outside of the scope of the service. I am concerned that this could potentially be a violation of my rights and would like to know if these types of terms of service are legally enforceable.

Your question is too broad to address, as it depends on what behavior is being dictated. For example, if you are using a website and you're not allowed to call people names on the site, that would be within the scope; but if you're being told you can't smoke cigarettes while using the service, that would most likely be outside the scope and not legally enforceable. But it really depends on the terms to which you've agreed, too.

I am in the process of purchasing a business and have been presented with a Purchase and Sale Agreement. I am looking to better understand the governing law that would be applicable to this agreement, and any potential implications for the agreement. Good morning - I am a WA State attorney. The purchase and sale agreement should, itself, specify the governing law that would be applicable; if that term is not already part of the PSA you were presented, it should be added. If you are buying a business in WA, normally the PSA will say that WA law will apply, but if you are buying a franchise, it's possible that the PSA will say something like that law of Delaware may apply. Washington has good governing law for this type of agreement. I also suggest that you discuss any concerns with your buyer's agent, and possibly request a WA State attorney to review all the documents before you sign anything.

Can I edit a signed business contract?
I am starting a business and am in the process of signing a contract with a vendor. I am concerned that some of the details in the contract may need to be changed after it is signed. I am wondering if it is possible to edit a signed business contract or if I would need to create an entirely new contract.

It is almost always possible to amend a signed contract, but, of course, all signatories to the original contract would also need to sign any amendment. If, however, you foresee things you may want to sign later down the road, it'd be best to negotiate changes to the original contract, rather than amending an existing one....for one thing, what if the other signatories don't agree to your proposed amendment(s)?

I am a small business owner who is looking to develop a software-as-a-service (SaaS) product. I am interested in understanding the legal requirements and obligations associated with a SaaS agreement, as well as what kind of maintenance is required to keep the service running. I am looking for legal advice to ensure that my business is in compliance with all applicable laws and regulations.

A SaaS agreement is just like every other business contract with just a few notable exceptions. They can be "click-wrap" agreements where your users are not able to negotiate the terms of service. These agreements must be inherently reasonable and fair aligned to traditional notions of fair play. If you intend for a more enterprise service, then your agreements can be a more traditional bargain for exchange so long as they are not deceptive and misleading. The other major difference with SaaS agreements is typically their ability to be unilaterally updated when written properly and applied fairly. You should definitely work with a lawyer experienced with data security and privacy issues to write your agreement and ensure it aligns to your terms and services, privacy policy, and internal business practices.
