I am a business owner looking to create a Shareholders Agreement with my business partner. We both have busy schedules and would prefer to avoid the hassle of having to meet in person to sign a physical document. I am wondering if it is possible to create a digital Shareholders Agreement that we could both sign electronically.

Sure. Gathering people around a conference room table to sign documents is so 1990s. I have clients all over the world, and routinely have them sign documents of all types (shareholder agreements, board resolutions, merger agreements, etc.) using platforms like Docusign. I couldn't function without it.

What is the purpose of a letter of intent?
I am buying a small business and have read I should put a letter of intent in place. I see they can be binding and non-binding. Why do I need to send a letter of intent? What is the benefit for the buyer?

A letter of intent establishes the initial negotiations of the parties; they are typically non binding. The LOI sets out what the parties should expect the agreement would look like, so that everyone is on the same page. For the buyer, it tells the seller what they want; and while no binding, it should only include terms that the parties agree upon. Those terms will be used in the Asset Purchase Agreement (APA) or Purchase and Sale Agreement (PSA) which is binding. I am an independent contractor who recently entered into an agreement with a company. However, due to unforeseen circumstances, I need to terminate the agreement. I am looking for advice on how to do so in a way that is legally compliant and protects my interests.

However, first read through your contract and find the paragraph(s) that deal with the termination of the contract. Next, contact an attorney for at least a 30 minute consultation prior to making any moves. Finally, contact the company and explain that you need to terminate, and why, and express the hope that you can terminate on a "win win" no hard feeling basis.

Can terms of service dictate user behavior?
I recently started using a service that requires me to agree to its terms of service. I have noticed that some of the terms of service appear to dictate behavior outside of the scope of the service. I am concerned that this could potentially be a violation of my rights and would like to know if these types of terms of service are legally enforceable.

Your question is too broad to address, as it depends on what behavior is being dictated. For example, if you are using a website and you're not allowed to call people names on the site, that would be within the scope; but if you're being told you can't smoke cigarettes while using the service, that would most likely be outside the scope and not legally enforceable. But it really depends on the terms to which you've agreed, too.
