We both have busy schedules and would prefer to avoid the hassle of having to meet in person to sign a physical document. I am wondering if it is possible to create a digital Shareholders Agreement that we could both sign electronically.

Sure. Gathering people around a conference room table to sign documents is so 1990s. I have clients all over the world, and routinely have them sign documents of all types (shareholder agreements, board resolutions, merger agreements, etc.) using platforms like Docusign. I couldn't function without it.

What is the purpose of a letter of intent?

I am buying a small business and have read I should put a letter of intent in place. I see they can be binding and non-binding. Why do I need to send a letter of intent? What is the benefit for the buyer?

A letter of intent establishes the initial negotiations of the parties; they are typically non binding. The LOI sets out what the parties should expect the agreement would look like, so that everyone is on the same page. For the buyer, it tells the seller what they want; and while no binding, it should only include terms that the parties agree upon. Those terms will be used in the Asset Purchase Agreement (APA) or Purchase and Sale Agreement (PSA) which is binding. Are templates for independent contractor agreements okay?

I am an independent contractor and am currently in the process of negotiating a new agreement with a client. I am trying to understand the implications of using a template agreement, as opposed to having an agreement written specifically for our situation. I want to ensure that I am protecting my interests and that the agreement is legally binding.

If you are considering using a template for your independent contractor agreement, you should view it as a starting point. It can be a good way of finding boilerplate provisions that are going to be in just about every agreement. Unfortunately, because they are templates, you run the risk of leaving out important details that may apply to your situation. Additionally, the template might not go far enough in protecting interests that you specifically need to have protected. Think of it this way. Template agreements are usually so general, they will probably be valid in almost every state. Consequently, by being general, they usually leave out key details that would apply in your situation but not in other contractors' situations. You should always consider having an attorney review your agreement to make sure that the agreement meets your legal needs and that it is legally binding in your state.

What should I do? How should I proceed this situation.

Hello, I sign a sale contract to buy a dog with a purchase of travel cost. The sales person received a payment and started the process to ship the puppy. But it came a hiccup when the puppy to small to be in a crate that was not secure. The airport was trying to charge 1000 to 1500 which the sales person did not have and wanted me to pay it. I could not pay it and the sales person could not supply the crates from a local store. So we made a agreement he would pick the dog up from the airport and refund the money back. It has been 6 hours and the sales person did not refunded and now I can not get in touch with him. What should I do

Do you have a written agreement? Does this agreement deal with what happens in the event that either party breaches the agreement? How did you pay? If you paid by credit card, you can call and cancel payment.
