What is the purpose of a letter of intent?
I am buying a small business and have read I should put a letter of intent in place. I see they can be binding and non-binding. Why do I need to send a letter of intent? What is the benefit for the buyer?

A letter of intent establishes the initial negotiations of the parties; they are typically non binding. The LOI sets out what the parties should expect the agreement would look like, so that everyone is on the same page. For the buyer, it tells the seller what they want; and while no binding, it should only include terms that the parties agree upon. Those terms will be used in the Asset Purchase Agreement (APA) or Purchase and Sale Agreement (PSA) which is binding. Sure. Gathering people around a conference room table to sign documents is so 1990s. I have clients all over the world, and routinely have them sign documents of all types (shareholder agreements, board resolutions, merger agreements, etc.) using platforms like Docusign. I couldn't function without it.

What is the basis for the additional $5K? In general, if you never consented to it in a contract, asking for more is a breach of contract and you can sue to enforce the contract at the original price or sue to recover the cost to complete the project with someone else.

I have/had an LLC that is a marketing company for D2D sales. Obviously, since COVID we are all out of business. I have been investing in crypto since 2016. I lost almost all of my money in the "ONECOIN" cryptocurrency SCAM. Now I am well educated in the market and believe I will make millions in the Crypto and Metaverse market. How to terminate a business purchase agreement?
I am in the process of purchasing a business, and I am currently reviewing the purchase agreement. I have noticed that the agreement does not specify how to terminate it and I am looking for guidance on how to properly terminate the agreement if I decide to do so. I am also interested in learning what the potential legal consequences of such a termination would be.

A North Carolina business purchase agreement typically includes due diligence. During due diligence, the buyer has the opportunity to explore the deal and investigate the business to be purchased. The buyer is usually allowed to terminate a business purchase agreement during the due diligence period simply by providing proper notice to the seller. Upon terminating a business purchase agreement during due diligence, the buyer is usually not entitled to a refund of a due diligence fee but might be entitled to a refund of a deposit. There are also several other termination options that could be included in a business purchase agreement. To avoid conflict and confusion, ideally, a contract should clearly articulate how it can be terminated.
