I am a business owner looking to create a Shareholders Agreement with my business partner. We both have busy schedules and would prefer to avoid the hassle of having to meet in person to sign a physical document. I am wondering if it is possible to create a digital Shareholders Agreement that we could both sign electronically.

Sure. Gathering people around a conference room table to sign documents is so 1990s. I have clients all over the world, and routinely have them sign documents of all types (shareholder agreements, board resolutions, merger agreements, etc.) using platforms like Docusign. I couldn't function without it.

What is the purpose of a letter of intent?
I am buying a small business and have read I should put a letter of intent in place. I see they can be binding and non-binding. Why do I need to send a letter of intent? What is the benefit for the buyer?

A letter of intent establishes the initial negotiations of the parties; they are typically non binding. The LOI sets out what the parties should expect the agreement would look like, so that everyone is on the same page. For the buyer, it tells the seller what they want; and while no binding, it should only include terms that the parties agree upon. Those terms will be used in the Asset Purchase Agreement (APA) or Purchase and Sale Agreement (PSA) which is binding. Can buyer back out of purchase agreement?
I am selling my e-commerce site and we have terms agreed. I am going to be presenting a purchase agreement and wanted to know if the buyer signs, is there any way he can back out?

The answer depends on what your purchase agreement would say. You can draft the agreement to include that there is a deposit that is needed prior to the sale and if they backs out they would loose the deposit or even pay for your legal fees. Penalty for breaking a business contract?
I am a small business owner looking to enter into a contract with a larger company. We have negotiated terms and conditions, but I am concerned about the potential penalty if either party breaks the contract. I would like to know what the legal consequences may be for a breach of contract, so I can make an informed decision about entering into the agreement.

Some contracts incorporate both reasons for breaching or ending a contract, and some incorporate the amount of a penalty. Most business contracts incorporate what state's laws apply, and whether a dispute will be taken to arbitration or court. If nothing is specified in a contract, parties are most likely to sue for lost income. To truly make an informed decision, I recommend that you consult with a business attorney BEFORE you sign a contract, so that he or she can review the proposed contract and recommend changes BEFORE you sign.
