Non-disclosure And Confidentiality Agreement
California
Business contract confidentiality clause?
I am a business owner in the process of signing a contract with a new vendor. We have agreed on the terms of the contract, but I am concerned about the confidentiality clause. I need to ensure that the vendor is not able to share the details of the contract with other businesses or individuals that could potentially be in competition with us. I want to know what can be done to ensure that the confidentiality clause of the contract is enforced.
N'kia N.
A business might use a non-disclosure agreement (sometimes called an "NDA," a "Confidential Disclosure Agreement," or a "CDA") to prevent others from disclosing its confidential information. Confidential information includes the business' trade secrets, as well as other proprietary information that does not constitute trade secrets. Generally, there are two main types of non-disclosure agreements. In a unilateral non-disclosure agreement, one party agrees not to disclose the other party's confidential information. In a mutual non-disclosure agreement, both parties agree not to disclose each other's confidential information. It is usually best to execute a non-disclosure agreement prior to the disclosure of confidential information. Disclosed information cannot be un-disclosed. Also, a party that has already received confidential information without restrictions might have little to no incentive to sign a non-disclosure agreement after the fact. For advice on or assistance with a non-disclosure agreement, speak with a knowledgeable business contract attorney. Good luck!

How do you draw up a Contract to ensure mutual Ownership
My partner and I own a Hospitality Company, he was offered the opportunity to Opérate a business and get 25% ownership of the franchise. We want to join this jointly and ensure ownership is split according to our partnership for our LLC. How would we go about doing this?

Business Purchase Agreement

Are digital assets covered in a business purchase agreement?
I am in the process of purchasing an online business and I am trying to understand what is included in the business purchase agreement. I am particularly interested in understanding whether digital assets such as website domains, content, and software licenses are covered in the agreement. I am hoping to get a better understanding of what is included in the agreement so I can ensure that all assets of the business are protected.
N'kia N.
A North Carolina business purchase agreement will typically identify the assets of the business being purchased. This includes the business' intellectual property, proprietary interests, and digital assets. However, a buyer should not enter into a business purchase agreement if the terms of the agreement are not clear, including terms related to the assets are included in and/or excluded from the deal. For assistance with navigating a North Carolina business purchase agreement, you might contact a North Carolina corporate attorney. Good luck!

It is possible to make a hold harmless agreement. It gets a little complicated to enforce when the supplier is outside of the United States.

How to exit a general partnership?
I am currently a partner in a general partnership with another individual, but I have decided to leave the partnership for personal reasons. However, I am unsure of the legal steps required to properly exit the partnership, including the distribution of assets and liabilities. Therefore, I would like to seek the guidance of a lawyer to ensure that my exit from the partnership is handled properly and fairly.
Jane C.
You need to review the partnership agreement to see the procedure for exiting the partnership. The partnership agreement will also address distributions.
