I need help getting out of a franchise agreement and not paying the upfront fee
I have signed an agreement with nurse next door but that a crisis happened in my life that i had to spend my start up funds for, and now i cant start because i will end up filling for bankruptcy. And i told them this they did not reconsider pulling the agreement i signed when i have not started anything i have not take their training or and did not start doing the home care license and i don't have access to any of there software I just signed so is there a way that i could get out since i have not started anything please i can’t afford this anymore i used to when i signed but life happened

Hi I am sorry to hear about the crisis going on in your personal life. Unfortunately, the best answer I can provide is that "it depends." Once you sign a valid contract, the terms of the contract will likely control how you get out of that contract. Some contracts will have a rescission clause that will let you terminate if done so within a prescribed period of time. Others may have written notice requirements or other actions that are needed before the contract can be terminated. It is tough to tell you exactly how you can terminate your contract without first reviewing it.

I urge you to get legal advice from a qualified attorney before imposing or changing terms and conditions - I see you have a lot of questions about TOC, and you're not going to get proper legal advice/guidance/review just by posting questions. Are third-party consents required in an asset purchase agreement?
I am a small business owner looking to purchase a business asset from another company. I have been presented with an Asset Purchase Agreement and I am looking to understand the implications of the agreement. I am particularly interested in whether third-party consents are required in such agreements and what the process would be to obtain such consents.

Asset Purchase Agreements sometimes, but do not always, require third-party consent. For example, security agreements (like mortgage agreements) typically include clauses prohibiting the debtors from assigning or transferring the assets used to secure the agreement. Similarly, franchise agreements typically contain clauses prohibiting franchisees from assigning or transferring franchise assets. Parties whose assets are subject to these types of "no assignment" clauses will likely need to obtain third-party consent before they can sell those assets.

I am a freelancer looking to take on temporary projects. I am currently in the process of creating a business contract for these projects, but I am unsure of what to include in the contract or what rights and responsibilities I should include for both parties. You should have a simple template that can be used for multiple projects. The key terms to include are: - Contract period - Your specific responsibilities and deliverables - Fees and payment terms - Who owns the work - Non-disclosure clauses - Termination rights (for both parties) if things don't go well - Indemnification (i.e. if something goes wrong, who is responsible for what) This can be a relatively simple contract that can be revised quickly and for multiple clients. One thing to note is that companies will typically prefer to use their own vendor contracts, so you might end up having to review and use their contract instead of yours.

Can terms of service dictate user behavior?
I recently started using a service that requires me to agree to its terms of service. I have noticed that some of the terms of service appear to dictate behavior outside of the scope of the service. I am concerned that this could potentially be a violation of my rights and would like to know if these types of terms of service are legally enforceable.

Your question is too broad to address, as it depends on what behavior is being dictated. For example, if you are using a website and you're not allowed to call people names on the site, that would be within the scope; but if you're being told you can't smoke cigarettes while using the service, that would most likely be outside the scope and not legally enforceable. But it really depends on the terms to which you've agreed, too.
