Never sign a contract without a lawyer reviewing it. Signing a document and being obligated to a contract that has not been reviewed can be detrimental to your business. If you and the other party disagree on the agreement, it will cost approximately 5-10 times more to litigate and defend yourself than it would cost to review the initial document and ensure you and your company are protected. Yes, if the seller is in breach of the contract by delaying either because there was a deadline or the delays are unreasonable, you can cancel the contract.

What is fixed term employment contract?
I have been given a contract that says 'Fixed Term Employment Contract'. How is this different than a normal employment contract? Is there anything I need to consider before signing this?

Generally a fix term employment contract differs from a genera employment contract in that it has an end date. For example, at-will contracts continue until you are fired or quit, while a fixed term contract only continues until the term expires. The main points to look at would be what they are classifying you as (employee vs contractor), the length of the term (so you know when the contract is up), and how to renew the contract or if there is an automatic renewal. It would also be good to double check the contract for termination clauses, as quitting may be more complicated under a fixed term contract. Ultimately, as with all contract matters it’s probably best to reach out to an attorney to review the document to get more specific answers to your concerns.

What's a buy-sell clause in a partnership agreement?
I am forming a partnership with a business partner and we are in the process of creating a partnership agreement. We understand the importance of having a buy-sell clause in the agreement and we want to make sure that our interests are protected in the event that one of us chooses to leave the partnership. We are looking for more information on what this clause should include and the legal implications of it.

There are numerous variations of a buy-sell provision, clause or agreement. Generally, the provision is for one of the other owners (or the entity) to purchase the ownership interest of the one who has died or wants to leave the business. For example the parties enter into a buy/sell agreement to effect the purchase of the deceased partner's share upon such partner's death, to be funded by life insurance policies. There could also be an agreement for the entity itself to redeem the shares or membership interest depending on the type of entity Also, sometimes there is another type of triggering event other than an owner's death. Overall though, the buy/sell clause is a way to keep the ownership of the entity with the existing owners rather than having a third party become one of the owners of the business. So a buy-sell clause, provision or agreements alleviate the concern over what happens if a partner dies, leaves the business suddenly or retires.
