Do I need a user agreement for my business?
I’ve recently started my business which is a web-based sentimental message delivery company. Essentially my business allows people to upload written, Audio, and video files to my website (data warehouse is managed through Amazon Web Services), for these messages to be delivered to their intended recipients at a later date in the future or after they pass away. I intended to manage the post-life part by asking the customers to submit their DOB, full name, and most recent address, as we plan to run regular scans against the SSA’s death master. I realize that this is personal information, that may fall under HIPAA penalties. My Amazon expert recommended a user agreement so I’ve been reading up on them, and I just want to confirm this is the appropriate approach. Please advise and let me know what the rate for this user agreement would be through your services. My website is below. Here’s the website: O1morething.com

I suggest you consult with an attorney to write these policies and agreements for you.

Operating Agreement
Connecticut
What is the risk in using a free template I found online for an operating agreement?
I found an operating agreement on a website. I need one and want to know if it is OK to use. I am starting an e-commerce company with my family member.
Jane C.
Many templates can be a great starting point, however; they may contain clauses that do not relate to your business that create unintended consequences. Consulting Agreement
Texas
How are deliverables defined in a consulting agreement?
I am a small business owner and I am looking to hire a consultant to help me with a project. I am looking to understand how deliverables will be defined in the consulting agreement so that both parties are clear on expectations. I want to make sure that the consultant is held accountable for the work they are delivering and that I am satisfied with the outcome of the project.

Independent Contractor Agreement
North Carolina
Are NDAs part of independent contractor agreements?
I am a small business owner and I have been asked to sign an independent contractor agreement. I am curious to know if non-disclosure agreements (NDAs) are included in such agreements or if they are separate documents. I am interested in understanding my legal obligations and responsibilities in this situation.
N'kia N.
A non-disclosure agreement (sometimes called an "NDA," a "confidential disclosure agreement," or a "CDA") is a common component of an independent contractor agreement. Whether it is included in the independent contractor agreement or is a separate document does not, in and of itself, affect the enforceability or validity of an NDA. However, it must be clear how a separate NDA is part of an overall deal. An independent contractor with a valid and enforceable NDA is obligated to comply with its terms and conditions. For example, the NDA might prohibit the independent contractor from disclosing confidential information to others or might require the independent contractor to comply with certain standards for maintaining confidentiality. An independent contractor who violates an NDA could be liable to the other party for monetary damages. For example, the NDA might require the contractor to pay the other party a predetermined amount of money or a court could order the contractor to pay the other party another amount. A North Carolina attorney who is knowledgeable of independent contractor agreements and NDAs should be able to assist with these, whether they are combined or are separate documents. To best understand your obligations and responsibilities, consult with a knowledgeable attorney.

Penalty for breaking a business contract?
I am a small business owner looking to enter into a contract with a larger company. We have negotiated terms and conditions, but I am concerned about the potential penalty if either party breaks the contract. I would like to know what the legal consequences may be for a breach of contract, so I can make an informed decision about entering into the agreement.
Merry A.
Some contracts incorporate both reasons for breaching or ending a contract, and some incorporate the amount of a penalty. Most business contracts incorporate what state's laws apply, and whether a dispute will be taken to arbitration or court. If nothing is specified in a contract, parties are most likely to sue for lost income. To truly make an informed decision, I recommend that you consult with a business attorney BEFORE you sign a contract, so that he or she can review the proposed contract and recommend changes BEFORE you sign.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
