Do I need a user agreement for my business?
I’ve recently started my business which is a web-based sentimental message delivery company. Essentially my business allows people to upload written, Audio, and video files to my website (data warehouse is managed through Amazon Web Services), for these messages to be delivered to their intended recipients at a later date in the future or after they pass away. I intended to manage the post-life part by asking the customers to submit their DOB, full name, and most recent address, as we plan to run regular scans against the SSA’s death master. I realize that this is personal information, that may fall under HIPAA penalties. My Amazon expert recommended a user agreement so I’ve been reading up on them, and I just want to confirm this is the appropriate approach. Can a physician employment agreement be digital?
I am a physician looking to enter into an employment agreement with a hospital. I am currently in the process of negotiating terms of the agreement, and am considering the possibility of signing a digital version of the agreement. I want to know if this is legally permissible, and if there are any potential risks or considerations associated with signing a digital agreement.

The federal ESIGN Act, passed in 2000, gives full force and effect to digital signatures with the same weight as "wet" signatures. However, you should discuss this with an Attorney for your specific agreement if you are concerned. An Attorney can research your specific industry, regulations, and state statutes that may impact digital signatures or have specific requirements around digital signatures that are different from other documents.

How can I make a legal contract signature with no experience?
I'm currently making a new crypto coin with my friend. I want to make an official personal contract signature so that my friend doesn't resign or remove me from his team even though I am the founder. I am a small business owner who is looking to develop a software-as-a-service (SaaS) product. I am interested in understanding the legal requirements and obligations associated with a SaaS agreement, as well as what kind of maintenance is required to keep the service running. I am looking for legal advice to ensure that my business is in compliance with all applicable laws and regulations.

A SaaS agreement is just like every other business contract with just a few notable exceptions. They can be "click-wrap" agreements where your users are not able to negotiate the terms of service. These agreements must be inherently reasonable and fair aligned to traditional notions of fair play. If you intend for a more enterprise service, then your agreements can be a more traditional bargain for exchange so long as they are not deceptive and misleading. The other major difference with SaaS agreements is typically their ability to be unilaterally updated when written properly and applied fairly. You should definitely work with a lawyer experienced with data security and privacy issues to write your agreement and ensure it aligns to your terms and services, privacy policy, and internal business practices.
