Do I need a user agreement for my business?
I’ve recently started my business which is a web-based sentimental message delivery company. Essentially my business allows people to upload written, Audio, and video files to my website (data warehouse is managed through Amazon Web Services), for these messages to be delivered to their intended recipients at a later date in the future or after they pass away. I intended to manage the post-life part by asking the customers to submit their DOB, full name, and most recent address, as we plan to run regular scans against the SSA’s death master. I realize that this is personal information, that may fall under HIPAA penalties. My Amazon expert recommended a user agreement so I’ve been reading up on them, and I just want to confirm this is the appropriate approach. Can a company keep an independent contractor's equipment and supplies after mutually severing ties?
I'm an independent contractor and have mutually severed ties with the owner of the company I contracted with. She said I could retrieve my belongings this past Tuesday at 2pm. Before I could do so she asked for more time to gather my items and have them ready for pick up in the front lobby. I asked why I couldn't just come get the stuff I could be done w/in an hour and she replied she had some accounting to do. Yesterday Thursday I said I wanted to come get my stuff Friday as I've given her plenty of time. She said I could pick up today at 3:15 as long as I pay her $180 that she claims I owe. First I've heard of this charge and completely dispute it. Now she is saying she is keeping my stuff in lieu of payment. I spoke with county sheriff's office who will provide an escort to retrieve my things. It's work related and her keeping the items is preventing me from working. Does she have any right to withhold my property? Just to be clear I'm not an employee.

Are NDAs part of independent contractor agreements?
I am a small business owner and I have been asked to sign an independent contractor agreement. I am curious to know if non-disclosure agreements (NDAs) are included in such agreements or if they are separate documents. I am interested in understanding my legal obligations and responsibilities in this situation.

A non-disclosure agreement (sometimes called an "NDA," a "confidential disclosure agreement," or a "CDA") is a common component of an independent contractor agreement. Whether it is included in the independent contractor agreement or is a separate document does not, in and of itself, affect the enforceability or validity of an NDA. However, it must be clear how a separate NDA is part of an overall deal. An independent contractor with a valid and enforceable NDA is obligated to comply with its terms and conditions. For example, the NDA might prohibit the independent contractor from disclosing confidential information to others or might require the independent contractor to comply with certain standards for maintaining confidentiality. An independent contractor who violates an NDA could be liable to the other party for monetary damages. For example, the NDA might require the contractor to pay the other party a predetermined amount of money or a court could order the contractor to pay the other party another amount. A North Carolina attorney who is knowledgeable of independent contractor agreements and NDAs should be able to assist with these, whether they are combined or are separate documents. A small business that wishes to draft an agreement for hiring a consultant should consider various legal requirements and implications. For just a few examples: 1. An agreement is not a valid and enforceable "contract" unless it contains certain essential elements. 2. Issues like ambiguity, contradiction, and vagueness in an agreement can be (and sometimes must be) interpreted against the drafting party. 3. Drafting an agreement for a person who will be providing individual services is a factor that could be used to interpret the relationship as "employment" when it was not intended to be. Since consultants are usually experts of some sort, they often make their living by providing their consulting services to numerous clients. Therefore, most consultants have their own consulting agreements to present to their prospective clients. A knowledgeable North Carolina attorney can assist with drafting, reviewing, or negotiating a consulting agreement.
