Asset Purchase Contract
Texas
Business has been sold
I sold my business in 9-2016 for $300,000 at 6% interest and received $4500 a month for payments then in January 2020 lowered the payments to $3000. How long until the note is paid off? Also the buyers now think they paid too much and want to change the amount, can they so that?
Donya G.
Hello, Everything will depend on what your contract states. If the agreement said they paid the amount they did, it would not matter if they now think otherwise but it depends on your agreement. Generally, any modifications and revisions to an agreement must be in writing and signed by the parties. This would also need to be in your agreement. How I can help - I can review your agreement and advise you on how to take next steps with the buyers. You can connect with me through the website or directly to my profile page at Donya Gordon Esq. Regards, Donya

Consulting Agreement
Texas
How are deliverables defined in a consulting agreement?
I am a small business owner and I am looking to hire a consultant to help me with a project. I am looking to understand how deliverables will be defined in the consulting agreement so that both parties are clear on expectations. I want to make sure that the consultant is held accountable for the work they are delivering and that I am satisfied with the outcome of the project.
Darryl S.
- Include due dates, frequency, and delivery methods for reports, meetings, and other intermittent tasks. - Establish metrics and KPIs for quantifying performance, progress, and acceptable quality measures. Have a lawyer help you draft a clear set of requirements UP FRONT.

stuck in a bad contract
I got into a contract with a roofing company that wants to charge me 12 thousand dollars out of pocket on top of he !5 or so thousand that thge insurance is paying or the want 5,800 for breach of contract i need the roof but i cant afford that much debt or cash
Matthew S.
What is the basis for the additional $5K? In general, if you never consented to it in a contract, asking for more is a breach of contract and you can sue to enforce the contract at the original price or sue to recover the cost to complete the project with someone else.

Does a business purchase agreement need witnesses?
I am considering purchasing a business and I am in the process of drafting a business purchase agreement. I understand that certain documents and agreements require witnesses to be present, but I am unsure if a business purchase agreement is one of them. I would like to know if a business purchase agreement needs witnesses or not.
Michael A.
A Business Purchase Agreement does not REQUIRE witnesses. However, witnesses, if unaffiliated and uninterested 3rd parties, witness the execution signatures on the Business Purchase Agreement, it may become important if a dispute arises between buyer and seller.

Partnership Agreement
Texas
What about confidentiality in a partnership agreement?
I am starting a business with a partner and we are in the process of creating a Partnership Agreement. We both want to ensure that anything discussed or shared between us as part of the business is kept confidential. We are looking for advice on how to ensure that this is upheld in the Partnership Agreement.
Darryl S.
You can sign a Non-Disclosure provision within the Partnership Agreement or as a separate document. These are fairly standard and can be drafted quickly and easily.

Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
View Trustpilot ReviewContracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
