I am looking to start a business partnership with another individual. We are both interested in working together on short-term projects, but we want to ensure that our partnership is legally binding and properly structured to protect both of our interests. We have discussed the details of our agreement, but I would like to have a lawyer review the agreement to ensure that it is legally sound.

In a partnership, each of you is liable for all debts of the partnership. Your personal assets are at risk if anything goes wrong. You should set up as a limited liability company. That way, only the LLC can be liable, and you will not be personally liable. To se up an LLC, you need a filing with the state, an Operating Agreement, and an Employer Identification Number from the IRS. The Operation Agreement is, in effect, a partnership agreement. Is a liability waiver binding on heirs?
I recently inherited a business from a family member and I am looking to create a liability waiver for the business. I want to make sure that the waiver is binding on the heirs of the business in the event that the business is passed down. I want to make sure that any potential liabilities are not passed on to future generations of the family.

A liability waiver can indeed be binding on heirs if the language of the waiver expressly includes heirs or assigns. However, the binding nature of a waiver on heirs could be affected by several factors. Administrative regulations such as 1 TAC § 373.209 and statutes like V.T.C.A., Civil Practice & Remedies Code § 71.021 and V.T.C.A., Special Districts Code § 8502.020 stipulate conditions under which heirs can assert claims, which could potentially affect the binding nature of a waiver on heirs. Finally, the enforceability of such waivers can be influenced by whether the instrument is recorded or not, as per V.T.C.A., Property Code § 13.001. In summary, while a liability waiver can be binding on heirs, the enforceability of such waivers can be influenced by various factors, including the specific language of the waiver, the termination of the contract, administrative regulations or statutes, and whether the instrument is recorded or not. I recommend having a discussion with an attorney and have them draft the language to achieve your goal.

Can a JV own property?
I am currently in talks with another company to form a joint venture (JV) for a real estate development project. We are planning to pool our resources together to purchase land and build properties. However, I am uncertain if a JV can legally own property or if we would need to form a separate legal entity for the ownership of the real estate. I would appreciate the guidance of a lawyer on this matter.

A joint venture can own property. It's a type of partnership. But in a partnership, each partner is liable for anything the other partner does. You would be much better off setting up as an LLC. Texas Secretary of State has a ton of helpful resources, including what documents to be filed, what taxes to be paid, and others. With regards to applicable law or which regulators your business will be subject to, you may want to discuss the nature of your business with your preferred counsel. You should also look into the duties/responsibilities of owning or holding a certain position in your company. There are also post-obligations or tasks that the company has to undertake after being registered, like adopting your Bylaws and naming your officers/directors/c-level executives.
