My career interests are to practice Transactional Corporate Law, including Business Start Up, and Mergers and Acquisitions, as well as Real Estate Law, Estate Planning Law, Tax, and Intellectual Property Law. I am currently licensed in Arizona, Pennsylvania and Utah, after having moved to Phoenix from Philadelphia in September 2019. I currently serve as General Counsel for a bioengineering company. I handle everything from their Mergers & Acquisitions, Private Placement Memorandums, and Corporate Structures to Intellectual Property Assignments, to Employment Law and Beach of Contract settlements. Responsibilities include writing and executing agreements, drafting court pleadings, court appearances, mergers and acquisitions, transactional documents, managing expert specialized legal counsel, legal research and anticipating unique legal issues that could impact the Company. Conducted an acquisition of an entire line of intellectual property from a competitor. In regards to other clients, I am primarily focused on transactional law for clients in a variety of industries including, but not limited to, real estate investment, property management, and e-commerce. Work is primarily centered around entity formation and corporate structure, corporate governance agreements, PPMs, opportunity zone tax incentives, and all kinds of business to business agreements. I have also recently gained experience with Estate Planning law, drafting numerous Estate Planning documents for people such as Wills, Powers of Attorney, Healthcare Directives, and Trusts. I was selected to the 2024 Super Lawyers Southwest Rising Stars list. Each year no more than 2.5% of the attorneys in Arizona and New Mexico are selected to the Rising Stars. I am looking to further gain legal experience in these fields of law as well as expand my legal experience assisting business start ups, mergers and acquisitions and also trademark registration and licensing.

My main focus is estate planning and business transactions, but I have had many practice areas throughout my career, including criminal defense and prosecution, civil litigation from neighborhood squabbles to corporate contentions. I have also worked in bankruptcy, family law, collections, employment law, and personal injury. I stand ready to assist in any area to which I feel I can be of service, but will not try to fake it if I do not know the area of law I am being asked to serve in.

Partnership Agreement

Texas

Asked on Nov 14, 2023

What is a partnership agreement?

I am starting a business with a partner and we are looking to create a partnership agreement. We want to make sure that all of our rights and responsibilities are clearly outlined in the agreement in order to protect both of us. We want to be sure that we have a clear understanding of our obligations to each other and the business. We also want to make sure that our agreement is legally binding.

Darryl S.

Answered Nov 28, 2023

A partnership agreement is a legally binding contract between two or more partners that clearly outlines the terms of their business relationship. It details each partner's rights, responsibilities, share of ownership and profits, as well as what happens when a partner leaves or dies. Having a clear partnership agreement is crucial for avoiding future disputes or uncertainties that could undermine the partnership.

Memorandum of Understanding

Colorado

Asked on Mar 29, 2021

When is it appropriate to use a memorandum of understanding?

I am discussing a partnership with another company and we will be doing a pilot before integrating our software. The other party has asked us to provide a partnership agreement. I read about memorandum of understandings and wanted to learn more about what they are used for.

Jane C.

Answered Mar 29, 2021

You may use a Memorandum of Understanding when you want a written agreement that is less formal than a contract yet still outlines the terms of your partnership. Partnership Agreement

Washington

Asked on Nov 15, 2023

How long is a partnership agreement valid?

I am considering entering into a partnership agreement with another person and I would like to know how long the agreement is valid. We are starting a small business together and I want to make sure that the agreement is legally binding and will remain valid for the duration of our partnership. I am looking for clarity on what the expiration date of the agreement is, if any, and any other important details that I should be aware of.

Merry A.

Answered Nov 28, 2023

I cannot give you legal advice in this format, and no attorney/client relationship is formed between us. If you enter into a partnership agreement, it will be valid until the end of time unless you either terminate it in accordance with the termination clauses in the contract or on a date specified in the contract. If you are asking such a basic question, I urge you to seek representation by an attorney (just you, solely) prior to signing this agreement or any other agreement you may be considering.

What will you want to know to put together a partnership agreement?

I need to put a partnership agreement together and am wanting to know what information I should gather.

Donya G.

Answered Mar 30, 2021

You need to have the understanding of the parties - who will be doing what work and how much will they receive based on the work they will do. Settlement Agreement

Massachusetts

Asked on Dec 14, 2023

How binding is a settlement agreement?

I recently entered into a settlement agreement with a former business partner. We both agreed to the terms of the settlement, however, I am now concerned that the other party may not follow through with their obligations. I want to know how binding the settlement agreement is and if there are any legal consequences if the other party does not fulfill their obligations.

Patrick N.

Answered Jan 16, 2024

First of all, it matters who drafted the agreement, who are the parties to the agreement, and what precisely is being "settled"? Typically an "agreement for judgment" is the most binding settlement agreement, since the agreement becomes an order of the court once it is approved by the presiding judge. However, you have to already be in court (i.e., sue or be sued) to get the benefit of that. Was there a lawsuit filed or a lawsuit threatened?
