My main focus is estate planning and business transactions, but I have had many practice areas throughout my career, including criminal defense and prosecution, civil litigation from neighborhood squabbles to corporate contentions. I have also worked in bankruptcy, family law, collections, employment law, and personal injury. I stand ready to assist in any area to which I feel I can be of service, but will not try to fake it if I do not know the area of law I am being asked to serve in.

Should I sign a contract if I don't understand what it is saying?
Has a contract with someone where if we disagreed we would go to mediation. They refused to go, they offered us a settlement as long as we signed another contract. I don't understand fully what it is saying.
Simon C.
You should never sign a contract or other legal documents if you do not understand them. Get help and advice from a qualified lawyer before entering into contractual and legal obligations.

Do beta testers need a special terms of service?
I am currently developing a software product and I am looking to have beta testers test out the product. I want to ensure that I have all the necessary legal documents and agreements in place before I allow any beta testers to access the product. I am wondering if beta testers need a special terms of service that is different from the standard terms of service agreement that would be given to customers when they purchase the product.
Merry A.
In both instances, you should incorporate some type of non-disclosure agreement. For beta testers, you need to address whether you are paying the beta testers in any way, shape, or form, such as a discount for the final software.

Are non disclosure agreements enforceable?
I keep getting asked to sign NDAs and I'm not sure how enforceable they are?
Christopher M.
So non-disclosure agreements will typically be enforceable for a reasonable time depending on the content of the information contained in the NDA. It will really depend on the specifics of the NDA and the information released to you. Most NDAs do allow you to discuss the matters with counsel so if you are concerned about any specific agreement it would probably be best to have them reviewed by an attorney.

New companies databases is possible?
We're a US-based company with clients around the country. We help new, small and medium businesses to grow as well. Although, we do it through marketing and sales strategies. I was wondering if an attorney is able to sell databases of companies that have recently been created in the US. What we want to do is to help these companies to grow (to be on the map, so to speak) with our strategies. I can provide more details if required. Thanks in advance
Adjckwc B.
Business formation is public record in most states in the US. Delaware, Nevada, New Mexico, and Wyoming are exceptions. If you are looking for data on newly formed companies you can obtain the same from the Secretary of State. There are also many companies who offer data lists for sale. If you need a data transfer agreement we can assist with that as well.
