What contracts do I need for my business?

Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I’ll be partnering with cleaning businesses run by 1 person (the owner) and cleaning companies with multiple cleaners employed. Kind regards, Brian

I urge you to get legal advice from a qualified attorney before imposing or changing terms and conditions - I see you have a lot of questions about TOC, and you're not going to get proper legal advice/guidance/review just by posting questions. Hello, I am a Michigan licensed attorney. The business formation structure you choose will impact your taxes and also protect you from liability depending on the structure. A limited liability company can be set up in multiple ways from a sole proprietor to a multi-member company. And it can be taxed in one of three ways as a pass-through tax, as an S corp, and as a regular Corporation. This all depends on how you choose to set it up. There are State filing documents, setting up a tax ID number with the IRS, then setting up an operating agreements. Those are some of the basics. Here is a general list of things for you to consider as a Texas entity: 1. Clear Definition of Confidential Information: This can include customer files, lists, business, marketing, financial or sales record, data, electronic data, program, plan, survey, and any other record or information relating to the present or future business, products, or services. It can also include customer and patient related information that could damage the company if this information were to come into the possession of competitors. 2. Confidentiality Conditions: The terms of service should detail the conditions under which information qualifies as confidential. For instance, the information could be considered confidential if it's disclosed to the recipient, either directly or indirectly, including the identity of customers, consultants, and suppliers. 3. Regulations for Public Access: The terms of service should include regulations to ensure non-discriminatory public access while complying with confidentiality and disclosure protections. 4. Non-Disclosure of Customer Information: The terms of service should state that customers' identities should not be disclosed, even if the trade secret being protected is a customer list. 5. Return of Confidential Information: The terms of service should state that upon termination of the agreement, the recipient is required to return all confidential information. Depending on what your company does, and the type of information that is collected on your customers, there may be more necessary legal disclosures.
