I absolutely love helping my clients buy their first home, sell their starters, upgrade to their next big adventure, or transition to their next phase of life. The confidence my clients have going into a transaction and through the whole process is one of the most rewarding aspects of practicing this type of law. My very first class in law school was property law, and let me tell you, this was like nothing I’d ever experienced. I remember vividly cracking open that big red book and staring at the pages not having the faintest idea what I was actually reading. Despite those initial scary moments, I grew to love property law. My obsession with real estate law was solidified when I was working in Virginia at a law firm outside DC. I ran the settlement (escrow) department and learned the ins and outs of transactions and the unique needs of the parties. My husband and I bought our first home in Virginia in 2012 and despite being an attorney, there was so much we didn’t know, especially when it came to our HOA and our mortgage. Our real estate agent was a wonderful resource for finding our home and negotiating some of the key terms, but there was something missing in the process. I’ve spent the last 10 years helping those who were in the same situation we were in better understand the process.

I loaned money to a 5013c organization, I want a lawyer to look over the contract, worried about them defaulting on it
I am worried about a 5013c organization defaulting on a promissary note, they do not seem to have their act together, want to have a lawyer look over the promissary note and get advice on what happens if they default on it
Donya G.
Sure. I take it they have not yet signed as yet? You can draft the agreement with some protections to ensure payment; however, you need to keep in mind that payment will always be contingent on whether they have money to pay or not. I am a contracts attorney and if you you would like my services, you can contact me on the contracts counsel website, or post your job on the website and attorneys will respond to your job. Contract Amendment

How to amend an investment contract?
I am a small business owner who recently entered into an investment contract with a venture capital firm. We have been working together for several months, but I recently learned that certain terms of the contract are no longer beneficial to my business. I need to know how to amend the investment contract so that it is more suitable to the current needs of my business.
Diane D.
You need to draft an addendum with the changes that all parties agreed to referenced and have it signed by both parties. If you do not know how to do it, you will need an attorney to help you.

Can I got a nonrefundable deposited back if no contract was signed?
I scheduled a free photography session with this girl. She said she needed $200 in advance that will go towards a package I'll buy when the photos are done. I decided the next day after looking how expensive her packages are that I couldn't afford it. I never signed the contract she sent me but she will not give me the $200 back. Can I get this money back? Am I in the wrong or is she?

Contract versus PO?
I'm working with a client who refuses to sign our contract document while mentioning that the PO would suffice for that purpose. I already signed the contract and sent it back to the client that I'm working with, but they didn't sign it so far and refuse to sign it. But according to them, they will send PO. Is the PO legally binding to them to make the payment? Would the PO really suffice against the contract that I signed?
Christopher M.
Annoying as this answer it, it really does depend. Some purchase orders (especially in the government contracting world) automatically become contracts once they are accepted and signed. If this is the other sides normal mode of operating it is not unheard of for them to be reluctant to accept a different contract in case it creates different or conflicting terms. At the end of the day there is nothing inherent in a PO that would mean it cannot serve as a binding contractual document, it just depends on the language in the PO.
