What contracts do I need for my business?
Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I’ll be partnering with cleaning businesses run by 1 person (the owner) and cleaning companies with multiple cleaners employed. Kind regards, Brian

Is this considered a form of misinterpretation leading to a breach of contract ?
I LIVE IN FLORIDA AND I NEED A LAWYER WHO PRACTICES IN THE STATE OF NY TO REVIEW A EQUIPMENT RENTAL CONTRACT THAT WAS SIGNED AND AGREED UPON FOR JULY 30,2022 IN BROOKLYN, NY. THE LOCATION OF THE EVENT WAS RELOCATED DUE TO UNFORESEEN CIRCUMSTANCES. THE NEW LOCATION WAS ONLY 2.5 MILES AWAY FROM THE ORIGINAL LOCATION. I NEEDED TO CHANGE THE TENT SIZE TO A SIZE THAT CAN FIT INTO OUR NEW FACILITY. WAS NO LONGER NEEDED BUT SERVICES AND OTHER CONTRACTED EQUIPMENT WERE STILL NEEDED. COMPANY STATES SINCE I WANT TO DOWNSIZE THE TENT I AM CANCELING WHICH IS NOT THE CASE. I ADVISED THE OWNER ABOUT HIS ASSISTANT MISLEADING ME INTO BUYING A SMALLER TENT THAN WAS NEEDED. THE TENT HAS A CAPACITY OF ABOUT 500 PEOPLE ONLY, BUT I WAS TOLD THAT 1200 PEOPLE CAN FIT. I HAVE ATTEMPTED TO WORK WITH THE OWNER AND HAS REFUSED TO WORK WITH ME AND HAS FOUGHT THE TWO DISPUTE CLAIMS I HAVE MADE WITH THE BANK. OWNER CXLD CONTRACT AND STATES THAT I CANCELLED IT BY WANTING TO MAKE A CHANGE TO THE TENT. NOWHERE ON THE CONTRACT STATES CHANGES CAN’T BE MADE. I SPENT $9,298.00 AND I HAVE NOTHING TO SHOW FOR IT. THE CONTRACT IS VERY AMBIGUOUS. CAN THIS BE CONSIDERED A BREACH OF CONTRACT WITH THE MISINTERPRETATION OF THE TENT?

I am interested in drafting my own consulting agreement, but am unsure of the legal requirements and implications of doing so. A small business that wishes to draft an agreement for hiring a consultant should consider various legal requirements and implications. For just a few examples: 1. An agreement is not a valid and enforceable "contract" unless it contains certain essential elements. 2. Issues like ambiguity, contradiction, and vagueness in an agreement can be (and sometimes must be) interpreted against the drafting party. 3. Drafting an agreement for a person who will be providing individual services is a factor that could be used to interpret the relationship as "employment" when it was not intended to be. Since consultants are usually experts of some sort, they often make their living by providing their consulting services to numerous clients. Therefore, most consultants have their own consulting agreements to present to their prospective clients. A knowledgeable North Carolina attorney can assist with drafting, reviewing, or negotiating a consulting agreement. Penalty for breaking a business contract?
I am a small business owner looking to enter into a contract with a larger company. We have negotiated terms and conditions, but I am concerned about the potential penalty if either party breaks the contract. I would like to know what the legal consequences may be for a breach of contract, so I can make an informed decision about entering into the agreement.

Some contracts incorporate both reasons for breaching or ending a contract, and some incorporate the amount of a penalty. Most business contracts incorporate what state's laws apply, and whether a dispute will be taken to arbitration or court. If nothing is specified in a contract, parties are most likely to sue for lost income. To truly make an informed decision, I recommend that you consult with a business attorney BEFORE you sign a contract, so that he or she can review the proposed contract and recommend changes BEFORE you sign.
