What contracts do I need for my business?
Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I am a small business owner who recently hired an independent contractor to help with some of my projects. I want to ensure that the contractor is held accountable for their work, so I am looking to set performance metrics in the contractor agreement. I am hoping to find out the legalities of doing so and what kind of metrics are legally allowed to be included in the agreement.

A business that hires an independent contractor should be careful not to confuse an independent contractor relationship with an employment relationship. Treating an independent contractor like an employee can result in the law ultimately determining that the contractor is actually a "misclassified" employee. In North Carolina, "performance metrics" typically apply to employees, not independent contractors. This is because the "independent" in "independent contractor" means that the hiring party does not "control" (manage, monitor, supervise, etc.) the contractor like it would an employee. The hiring party is entitled to hold the contractor accountable for the results that it hires the contractor to achieve. However, the independent contractor is entitled to determine the manner, means, and methods of achieving the desired results. With that all being said, it is important for the parties to an independent contractor relationship to have clear expectations. An independent contractor agreement should outline the essential terms and conditions of the engagement. These might include such terms as definitions of the deliverables, deadlines for the deliverables, remedies for the independent contractor's failure to produce the deliverables by the agreed-upon deadlines, and special considerations. A knowledgeable North Carolina attorney can advise on the legalities of the proposed terms and conditions of an independent contractor relationship that is to be governed by North Carolina law.

I am unclear about what constitutes a deliverable in the agreement and would like to know what specific items I am responsible for delivering to my client. I am concerned that I may not have a clear understanding of the terms of the agreement and want to ensure that I am meeting all of my obligations.

An independent contractor agreement is an agreement to provide services in exchange for compensation of some type. “Deliverables” doesn’t have a standard one-size-fits-all definition for all contracts; rather, it gets defined on a contract-by-contract basis. Please look in your agreement for a heading labeled “Definitions” or “Defined Terms” and try to see whether a specific definition for “Deliverables” is provided. If it is, then you have your answer. If it isn’t, then try to see if you can infer a definition for Deliverables based on context. If even that isn’t possible, then the term may be vague and ambiguous; in such instance, I’d encourage you to contact the other party and seek clarification about what he or she expects you to deliver as part of your performance of services. I hope this helps. If you still have questions, I would encourage you to hire an attorney licensed in your state to review the independent contractor agreement and help clarify your obligations.
