My wife & I thought we had a contract from her employer to buy A dental practice after working for them for three years. We now were forced to sign a contract with the people that bought him out to continue working for them so they can get 10x EBITA when they sell shortly. Do we have a case for lost wages?

We moved from 30 miles away because we were told if we worked for 3 years we could buy it for $525,000. They now want $2.5M.

The first question is do you have a fully executed written contract? This is the first step to determine the terms and conditions such as your wages if there is a breach of contract, the dentist being able to assign the contract and if it can be modified.

I just changed to independent contractor last year after all my dental friends advised me to do so. Now the office I work at is being audited so I’m wondering what I need to do in order to keep the IC? Thank you !

In general, contract terms can make someone an employee, but cannot ensure independent contractor status. Essentially, the contract can set out IC terms, but if those terms are not followed in practice, the contract itself can't fix that. Under California AB, there is an exemption for dentists from the strict "ABC" test, but dentists will still need to meet a number of other requirements that are often, in practice, difficult to meet. For example, they would have to be "open to the public" and actually performing the same of similar services for others - so working for a single dental office typically will not pass the test!

I am an employer considering letting an employee go and am looking to understand when an employee separation agreement is necessary. I am unsure of the distinction between an employee separation agreement and other termination documents and want to ensure that I am following the proper protocol and protecting my business in the event of legal action.

Separation agreement is usually helpful when separating with an employee amicably and includes other terms that you want to ask of the other party and which you will also make promises. In other words, it is a two-way (or mutual) agreement. A termination letter is most likely a one-way communication, a notice that such employee is being terminated. You should talk to your preferred counsel to discuss facts in detail and make a determination which one will be the right approach.

What's termination notice in an employment contract?

I recently accepted a job offer with a new company and I was given an employment contract to sign. I was looking through the contract and noticed that it mentions something about a termination notice. I'm not sure what this means or how it applies to my employment, so I wanted to ask a lawyer to get a better understanding of this clause.

A termination notice is a provision in an employment contract that specifies the amount of notice an employer must give an employee if they wish to terminate the contract, or vice versa if the employee wishes to leave. This is an important clause, as it offers some level of job security for the employee and some level of predictability for the employer. In most states, including North Carolina, employment is considered "at-will" unless there is a contract in place that states otherwise. This means that either the employer or the employee may terminate the employment relationship at any time, for any reason, or for no reason at all, as long as the reason isn't illegal (like discrimination). If your contract includes a termination notice clause, this "at-will" status is likely modified to some extent. The specific details would depend on the exact wording in your contract. It could require either party to provide a notice (often 2 weeks, 1 month, or sometimes longer) before terminating the contract. That notice period is intended to give the other party time to adjust plans accordingly. For the employee, it might mean finding a new job; for the employer, it might mean finding a replacement.
