Individuals who can sign the employer's side of an I-9 document are any authorized representative of the company. The DHS does not require the representative to have a specific agreement authorizing them to do so. Your company would be held liable for any violations. The person who signs a W9 must be a "U.S. person." That means that the signer must be an individual who is a U.S. citizen or a U.S. resident alien. The signer should have the organization's consent to sign a W9 on its behalf, but consent can be oral or implied. There is no requirement that a company create a written authorization to sign a W9.

Should I form a corporation around my work if I don't plan to conduct any other forms of business (e.g., hire, sell, or raise outside funding) in the next year? My research is computational in nature (can be done on my laptop) and doesn't require many resources.

The answer to this questions to some degree depends upon your tolerance for risk. If in performing your "business" you are not exposing yourself in any way to the outside world, e.g., hiring, selling, inviting investors, etc., then you may no little to no liability exposure. However, if there is any aspect of your work that would or could develop into something which does involve others, or which is relied upon by others, then the safest path would be to incorporate or form an LLC. LLC's are more expensive to maintain in Massachusetts, i.e., $500 annually, but require less paperwork (no shares to consider, etc.). An LLC should have an operating agreement, even with a single member to clearly distinguish the member as an individual from the LLC as a company. Incorporation is more expensive in the early stages as it requires you to pay your fee to the Secretary of State (about $275), which recurs annually. It is more heavy in terms of annual meeting minutes of shareholders, and other formal documents, and can be a bit more expensive as incorporating will require a shareholder's agreement and other documentation at the outset (not repeated annually).

We are in the process of drafting a Noncompete Agreement to ensure that neither of us will compete against each other in the same market. We are looking for advice on what should be included in the agreement and how it should be enforced.

The one thing to make sure with noncompete agreements is that it is reasonable in terms of duration and the area you cannot compete in. Courts use a reasonableness test to determine whether a noncompete agreement is valid. If provisions are deemed to be unreasonable and fail the test, they could be altered or struck out of the agreement.

Would creating an investment LLC benefit me?
I am an active day trader (and may invest in real estate this year) so, would setting up an "investment LLC" be a benefit for me and help me lower my tax obligation when taking monthly profits as part of my "salary"? Should I include my wife as an employee and pay her as an expense? And, my sons, to a lesser degree? Would Capital gains be calculated differently if I just invested as an individual? How to amend details after LLC formation?
I recently formed a LLC for my business and I am now looking to make some changes to the details of the LLC. I am unsure of the process of making these amendments and am seeking advice on how to go about making these changes legally.

Making changes to certain aspects of a North Carolina LLC is usually not very difficult, particularly if the LLC is recently formed. For example, if the desired changes are related to the LLC's Articles of Incorporation, filing amended Articles will likely be sufficient. Similarly, if the desired changes are related to the LLC's Operating Agreement, signing an amended Agreement will likely be the key. The processes for making other types of changes will vary based on the specific facts. When making changes to any aspect of a North Carolina LLC, it is important to comply with the LLC's operating agreement, the LLC statute, and other applicable laws. For legal advice on making changes to your North Carolina LLC, you should consider consulting with a knowledgeable business or corporate attorney. Good luck!
