What is an Architect Agreement Review?

An architect agreement is a contract signed by a client and their architect. It explains all the aspects of their working relationship, such as timelines, payment, and obligations when providing plans for a construction project. It’s an important agreement that ensures expectations and standards are met, while reducing risks.

Read the rest of this article to explore architect agreements, what they usually include, how to review them, and how a lawyer can help you with the process for greater accuracy.

What Key Terms are Included in an Architect Agreement?

An architect agreement must be thorough and solid, which is why it should contain the following key terms.

  • Scope of work. This clause specifies all duties and services the architect will need to fulfill during the construction project.
  • Schedule. The agreement needs to outline the timeline for the project, so that all milestones are met. This keeps both parties on the same page.
  • Payment terms. This part of the agreement explains how the architect will be compensated for their work. It must be clear for proper budgeting and financial planning purposes.
  • Dispute resolution. The agreement should include information about how disputes between parties can be settled, such as via mediation or arbitration.
  • Intellectual property (IP) rights. The architect needs to protect ownership of their designs and drawings, so an IP clause needs to be included.
  • Changes. Since projects might change, the agreement should have a clause that explains how changes to plans can be requested and approved.
  • Termination. If the client has to end the project earlier than expected or the architect has to stop providing their services, the agreement can help them by specifying that either party can terminate the contract and what specific steps to follow.
  • Communication. Both parties require clarity over duties and responsibilities, as well as how they will communicate so that they can discuss any issues which arise.

How Should You Review Your Architect Agreement?

Before signing an architect agreement, you should take some time to review it thoroughly so that you reduce your risks.

Take Your Time

Instead of skimming through the architect agreement, you want to take time to read through every clause carefully. Make notes of anything you don’t understand or which doesn’t protect your interests. This will help you to understand everything in the document and be able to negotiate anything you’re unhappy with.

If you do negotiate with the other party, make sure you get it all in writing so you don’t put yourself at risk of relying on verbal agreements.

Check the Payment Terms

There are various payment terms and schedules that could apply to the architect agreement, such as the following:

  • Fixed fee. This is when the architect agrees to being paid a fixed fee for specific services and projects.
  • Hourly rate. The architect is compensated according to time spent on the project.
  • Construction cost percentage. This is when the fee the client pays to the architect is a percentage of the construction project’s full cost.

Don’t neglect to check for any additional costs, such as in terms of travel and revisions.

Scrutinize the Work Scope

As a client, you want to ensure that the architect will conduct all required services. These include site evaluation, preliminary drawings, refined designs, and final blueprints.

The contract should specify all phases of the process, with deadlines and deliverables.

Check the IP

Architects will want to ensure that their designs are protected. The agreement should specify that the architect has copyright, while the client will have a limited-use license.

However, if the client wants to use or change the designs, they will want a clause that gives them rights for these purposes.

Note the Timeline

You want the agreement to specify all deadlines in the project, and include penalties should they be missed. This ensures accountability and prevents delays.

Consult with a Lawyer

If there’s anything in the architect agreement that you don’t agree with, or you’re concerned about any terms, you should consult with a professional lawyer.

How Can a Lawyer Help You with Reviewing an Architect Agreement?

It’s advisable to request a contract review by a professional lawyer. Here is how they can help you:

  • They’ll unpack any legal jargon or complex wording.
  • They’ll protect your interests by highlighting risky clauses.
  • They’ll properly define all details, such as deliverables and payment schedules.
  • They’ll prevent you from being locked into a contract that’s unfair or unreasonable.
  • They’ll verify that all provisions reduce your risk, such as in terms of liability.
  • They’ll suggest and negotiate revisions.
  • They’ll check that the agreement is aligned with all local laws and regulations, which is especially important if you’re involved in a larger or commercial project.
  • They’ll explain your rights and duties.
