Can a partner assign their interest in a partnership to another person without the consent of the other partners?
I am a partner in a small business partnership and I recently discovered that one of my partners plans to assign their interest in the partnership to a third party without informing or seeking consent from the other partners. This raises concerns for me as we have a close-knit working relationship and I believe that such a significant change in ownership should require the approval of all partners. I would like to know if it is legally permissible for a partner to assign their interest in a partnership without the consent of the other partners, and what actions can be taken to protect the interests of the remaining partners in such a situation.

Hello! My name is Dolan and I'm happy to answer this question. The short answer? Whether your partner can assign their interest without your consent depends on your partnership agreement. Most agreements require all partners to approve something like this, especially in a close-knit setup like yours. If there’s no agreement or it doesn’t cover this, state law usually allows a partner to transfer their financial stake (like profits and losses) but not their management rights or status as a partner without everyone’s okay. First, check your partnership agreement to see if this move breaks the rules. If it does, you can push back. If there’s no agreement, the new person likely can’t step into full partnership status without your consent. To avoid issues like this in the future, consider updating the agreement to require unanimous approval for transfers. If you are interested in forming a series LLC (SLLC) in which a group of LLCs are owned in a tiered-down structure such that the top tier LLC owns the lower-tiered LLCs, then you have to from the SLLC in another state. A SLLC cannot be formed in California. You must register with the foreign SLLC with the California Secretary of State (SOS) before they start doing business in California. In California, LLCs can have one or more members. A member can be an entity or an individual. So if you are forming the LLCs in CA, then one LLC can own another LLC. There are various considerations when forming a LLC in California such as filing the appropriate documentation with the CA Secretary of State (e.g., Articles of Organization, Statement of Information), and having an Operating Agreement to govern, among other things, the LLC's business; LLC's management; members' rights, financial obligations and managerial duties; allocation of profits, losses, and distributions; tax implications; admitting new members or transferring interest; dissolution and winding up of the LLC.

It’s super frustrating when a publisher doesn’t meet their deadlines, especially when it messes with your reputation and finances. Whether you can end the agreement depends mostly on what’s in your contract. Check to see if it says anything about what happens if the publisher misses deadlines. If the deadlines were key to the deal and their delays are considered a major breach (something that defeats the purpose of the contract), you might have a solid case to terminate. Most contracts require you to give formal notice of the problem and allow time for the publisher to fix it (a “cure period”). If they still don’t deliver, you’re in a better position to end things. If it turns out they are continually failing, this is a breach of contract. A breach of contract simply means that one party was obligated to perform and they have either not performed or have said that they will not perform. (Restatement (Second) of Contracts.) This applies regardless of whether the agreement was written or done orally. Typically, the aggrieved party is entitled to be returned to the same position they were in before the breach. I entered into a coaching agreement with a coach who promised to provide me with specific coaching services, but after a few sessions, it became clear that the coach was not delivering on those promises. I am now considering terminating the agreement early, but I am not sure if I have the legal right to do so or if I would be entitled to any refunds or compensation for the services not rendered.

A breach of contract simply means that one party was obligated to perform and they have either not performed or have said that they will not perform. (Restatement (Second) of Contracts.) This applies regardless of whether the agreement was written or done orally. Typically, the aggrieved party is entitled to be returned to the same position they were in before the breach.
