C Corp

Texas

Asked on Jul 9, 2023

C corp legal requirements?

I am planning to start a business and am considering a C corporation structure. I am looking for information on the legal requirements associated with setting up and operating a C corporation. I would like to know what documents I need to file, what taxes I will need to pay, and what other regulatory requirements apply.

Wendy C.

Answered Jul 18, 2023

Texas Secretary of State has a ton of helpful resources, including what documents to be filed, what taxes to be paid, and others. With regards to applicable law or which regulators your business will be subject to, you may want to discuss the nature of your business with your preferred counsel. You should also look into the duties/responsibilities of owning or holding a certain position in your company. There are also post-obligations or tasks that the company has to undertake after being registered, like adopting your Bylaws and naming your officers/directors/c-level executives.

Joint Venture Agreement

Texas

Asked on Mar 21, 2023

What's normal term in a joint venture?

I am currently in discussions with another company to form a joint venture to pursue a business opportunity. As part of our negotiations, we are trying to determine the appropriate term for the joint venture, including the duration of the joint venture and the conditions under which it can be extended or terminated. However, I am unclear on what is considered a normal or typical term for a joint venture, and what factors should be considered when determining the length of the venture. Therefore, I would like to seek the advice of a lawyer to guide me through the process of negotiating the term of the joint venture and to ensure that the terms are legally sound and meet my needs.

Jimmy V.

Answered Mar 21, 2023

A joint venture is a partnership organized for a specific purpose. Let's say that you formed a joint venture to renovate a house and sell it. The joint venture ends once the project is completed. In this case the joint venture would end when you sold the house, PS For more information about business entities, download a free copy of my ebook "Should Your Small Business Become a Corporation or an LLC? Liability Waiver

Texas

Asked on Nov 27, 2023

Is a liability waiver binding on heirs?

I recently inherited a business from a family member and I am looking to create a liability waiver for the business. I want to make sure that the waiver is binding on the heirs of the business in the event that the business is passed down. I want to make sure that any potential liabilities are not passed on to future generations of the family.

J.R. S.

Answered Jan 5, 2024

A liability waiver can indeed be binding on heirs if the language of the waiver expressly includes heirs or assigns. However, the binding nature of a waiver on heirs could be affected by several factors. Administrative regulations such as 1 TAC § 373.209 and statutes like V.T.C.A., Civil Practice & Remedies Code § 71.021 and V.T.C.A., Special Districts Code § 8502.020 stipulate conditions under which heirs can assert claims, which could potentially affect the binding nature of a waiver on heirs. Finally, the enforceability of such waivers can be influenced by whether the instrument is recorded or not, as per V.T.C.A., Property Code § 13.001. In summary, while a liability waiver can be binding on heirs, the enforceability of such waivers can be influenced by various factors, including the specific language of the waiver, the termination of the contract, administrative regulations or statutes, and whether the instrument is recorded or not. I recommend having a discussion with an attorney and have them draft the language to achieve your goal.

Yes, if the seller is in breach of the contract by delaying either because there was a deadline or the delays are unreasonable, you can cancel the contract.
